5. Earnest Money Deposit

The earnest money shall be deposited with [[Escrow Agent / Title Company / Closing Attorney Name and Address]] (the "Escrow Agent") in a federally insured interest-bearing account (interest to [[Buyer / Seller / Split]]). The deposit is subject to the terms of this Agreement and applicable New Hampshire law. Article III, Title and Closing

6. Title

Seller shall convey marketable title to the Property by warranty deed (or fiduciary deed if applicable) in recordable form, free and clear of all liens, encumbrances, and exceptions except:

  • Current real estate taxes not yet due and payable
  • Easements, restrictions, and covenants of record that do not materially impair use or value
  • Such other exceptions as Buyer approves in writing

Seller shall deliver a title commitment or abstract within [[Title Deadline, e.g. 15 days]] after the Effective Date. Buyer shall have [[Objection Period, e.g. 10 days]] after receipt to object to title defects. Seller shall have a reasonable time, not to exceed [[Seller Cure Period, e.g. 30 days]], to cure objections. 7. Closing and Possession

At closing:

8. Prorations and Adjustments

Article IV, Contingencies

9. Inspection and Due Diligence Contingency

Buyer may terminate this Agreement for any reason or no reason during this period by written notice to Seller, and the earnest money shall be returned to Buyer.

If Buyer does not terminate within the period, this contingency is waived.

10. Financing Contingency

Article V, Seller Disclosures and Representations

14. Required Disclosures

Seller shall provide, prior to or with execution of this Agreement or as otherwise required by law:

1. New Hampshire Property Disclosure Statement pursuant to RSA 477:4-g and related statutes.

2. Radon, arsenic, and lead paint notifications under RSA 477:4-a.

3. Private water supply and sewage disposal system disclosure under RSA 477:4-d (if applicable).

4. Flood hazard information under current law.

5. Any other disclosures required by New Hampshire or federal law.

Buyer acknowledges receipt of the disclosures listed in Exhibit C.

15. Seller Representations

Seller represents that to Seller's actual knowledge:

  • There are no pending or threatened condemnation or eminent domain proceedings.
  • The Property is not in violation of any applicable code, ordinance, or law that would materially affect value or use.
  • There are no known material defects not disclosed in the Property Disclosure Statement., -

Article VI, Default and Remedies

16. Buyer Default

If Buyer defaults, Seller may terminate and retain the earnest money as liquidated damages (not a penalty), or pursue other remedies available at law or equity.

17. Seller Default

If Seller defaults, Buyer may terminate and receive return of earnest money plus reimbursement of reasonable out-of-pocket inspection and loan costs, or seek specific performance or other remedies.

18. Dispute Resolution

The parties agree to attempt good-faith negotiation. Any dispute not resolved may be submitted to mediation before litigation. The prevailing party in any litigation shall be entitled to reasonable attorneys' fees and costs as permitted by New Hampshire law., -

Article VII, Miscellaneous

19. Entire Agreement

This Agreement, including all exhibits and addenda, constitutes the entire agreement and supersedes all prior negotiations and representations. It may be amended only by written instrument signed by both parties.

20. Governing Law and Venue

This Agreement is governed by the laws of the State of New Hampshire. Any action shall be brought in the state or federal courts located in [[County]], New Hampshire.

21. Time of Essence
