1. Agreement to Sell and Purchase

Seller agrees to sell and convey, and Buyer agrees to purchase, the real property described above (the "Property"), including all improvements, fixtures, and appurtenances, subject to the terms and conditions of this Agreement.

2. Purchase Price

Seller shall deliver to Buyer a completed Wyoming Seller's Property Condition Disclosure Statement as required under Wyo. 7. Title and Survey

8. Earnest Money and Closing Agent

13. Representations and Warranties of Seller

Seller represents that Seller has authority to sell, that there are no known pending assessments or violations except as disclosed, and that Seller has not received notice of any condemnation or material defect not disclosed.

14. Default and Remedies

If Buyer defaults, Seller may retain the earnest money as liquidated damages or pursue specific performance or other remedies. If Seller defaults, Buyer may recover earnest money plus actual damages or pursue specific performance.

15. Risk of Loss

Risk of loss to the Property remains with Seller until closing. If the Property is substantially damaged before closing, Buyer may terminate and receive refund of earnest money or proceed with an adjustment in price.

16. Governing Law

This Agreement shall be governed by the laws of the State of Wyoming. Venue for any dispute shall be in the district or circuit court of the county where the Property is located.

17. Entire Agreement; Amendments

This Agreement, including exhibits and addenda, constitutes the entire agreement and supersedes all prior negotiations and representations. Amendments must be in writing and signed by both parties.

18. Severability; Waiver

If any provision is held invalid, the remainder remains in effect. No waiver of any breach shall constitute a waiver of any other.

19. Counterparts; Electronic Signatures

This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original.
