DELAWARE SUBLEASE AGREEMENT

This Sublease Agreement (this "Sublease") is made on [[Sublease Agreement Date]] by and between [[Sublessor Full Legal Name(s)]] ("Sublessor") and [[Sublessee Full Legal Name(s)]] ("Sublessee").

Sublessor and Sublessee agree as follows.

1. Parties and Recitals

Sublessor is the tenant under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease") between Sublessor (as tenant) and [[Master Landlord Full Legal Name]] ("Landlord" or "Master Landlord") for the premises located at [[Master Premises Full Address]] (the "Premises").

Sublessor desires to sublease a portion or all of the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, subject to the terms of the Master Lease and this Sublease.

2. Premises

Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the following portion of the Premises:

3. Master Lease Incorporation and Subordination

The Master Lease is incorporated herein by reference. A complete copy of the Master Lease (including all amendments, rules, and exhibits) is attached as Exhibit A.

Sublessee acknowledges that Sublessee has received and read the Master Lease. Sublessee agrees to be bound by and to perform all of the tenant obligations under the Master Lease as if Sublessee were the original tenant thereunder, to the extent such obligations apply to the Subleased Premises.

This Sublease and all rights of Sublessee hereunder are expressly subject and subordinate to the Master Lease and to all of its terms, conditions, covenants, and provisions. In the event of any conflict between this Sublease and the Master Lease, the Master Lease shall control.

4. Term

The term of this Sublease (the "Sublease Term") shall commence on [[Sublease Start Date]] and shall expire on [[Sublease End Date]], unless sooner terminated or extended in accordance with its terms.

The Sublease Term shall in no event extend beyond the expiration or termination date of the Master Lease. If the Master Lease expires or is terminated for any reason during the Sublease Term, this Sublease shall automatically terminate on the same date without further notice, and Sublessee shall vacate the Premises.

5. Rent and Payment to Sublessor and Landlord

Sublessee shall pay to Sublessor monthly rent in the amount of [[Sublease Monthly Rent Amount]], due on the [[Due Day]] day of each month in advance.

Sublessor remains obligated to pay all rent and other amounts due to Landlord under the Master Lease. Sublessee's payment to Sublessor does not relieve Sublessor of Sublessor's obligations to Landlord.

6. Security Deposit

Sublessee shall pay a security deposit to Sublessor in the amount of [[Sublease Security Deposit Amount]] upon execution of this Sublease.

Sublessor shall hold the deposit in accordance with 25 Del. C. § 5514 and the Master Lease. Sublessee acknowledges that Landlord is not obligated to return the deposit to Sublessee; return shall be governed by the terms of this Sublease and the Master Lease.

Upon termination of this Sublease, Sublessor shall account for the deposit and return any balance within the time periods required by Delaware law and the Master Lease, subject to permitted deductions.

7. Landlord Consent

Landlord Consent Requirement:

Pursuant to 25 Del. C. § 5508, unless otherwise agreed in writing in the Master Lease, the tenant (Sublessor) may sublet the Premises, provided that the Master Lease may condition subletting on Landlord's prior written consent. Such consent shall not be unreasonably withheld.

If Landlord consent is required and has not yet been obtained, this Sublease is contingent upon Landlord providing written consent on terms acceptable to Sublessor. Sublessee shall not take possession until Landlord consent, if required, has been obtained and delivered to Sublessor in writing.

8. Sublessor's Continuing Liability

Sublessor remains fully and primarily liable to Landlord for all rent, damages, and other obligations under the Master Lease for the entire term of the Master Lease, including during the Sublease Term.

Sublessee's performance under this Sublease does not release or diminish Sublessor's liability to Landlord.

Sublessee agrees to indemnify and hold Sublessor harmless from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from Sublessee's breach of this Sublease or the Master Lease obligations passed through hereunder.

9. Sublessee's Obligations

Sublessee shall:

  • Comply with all terms of the Master Lease as incorporated herein
  • Pay all rent and other charges when due under this Sublease
  • Maintain the Subleased Premises in good condition, reasonable wear and tear excepted
  • Not assign this Sublease or further sublet without Sublessor's and Landlord's prior written consent
  • Permit Sublessor and Landlord reasonable access upon notice as provided in the Master Lease
  • Vacate the Premises upon expiration or earlier termination of this Sublease

10. Use of Premises

Sublessee shall use the Subleased Premises solely as a private residence. Sublessee shall not permit any unlawful activity or nuisance.

11. Utilities and Services

Responsibility for utilities during the Sublease Term shall be as follows:

No alterations, additions, or improvements may be made to the Premises without Sublessor's and Landlord's prior written consent.

13. Default and Remedies

Sublessee shall be in default if Sublessee fails to pay rent when due or breaches any other material obligation under this Sublease or the incorporated Master Lease and fails to cure within any applicable cure period.

Upon default, Sublessor may exercise all rights and remedies available under the Master Lease and Delaware law, including termination of this Sublease and recovery of possession, unpaid amounts, and damages. Sublessor shall provide any notices required by the Master Lease and 25 Del. C. Chapter 55.

Sublessor may also pursue remedies against Sublessee for any amounts Sublessor is required to pay Landlord due to Sublessee's default.

14. Termination and Surrender

Upon expiration or termination of this Sublease, Sublessee shall surrender the Subleased Premises in the same condition as at the beginning of the Sublease Term, reasonable wear and tear and damage by fire or other casualty excepted, and in accordance with the surrender provisions of the Master Lease.

Sublessee shall remove all personal property, return all keys and access devices, and leave the Premises clean and free of debris.

15. Insurance; Liability

Sublessee is strongly encouraged (and may be required by the Master Lease) to maintain renter's insurance covering Sublessee's personal property and liability.

Sublessor and Landlord shall have no liability for loss or damage to Sublessee's personal property except to the extent caused by Sublessor's or Landlord's negligence or willful misconduct.

16. Notices

All notices under this Sublease shall be given in writing in the manner required by the Master Lease and Delaware law.

17. Governing Law

This Sublease shall be governed by the laws of the State of Delaware and the terms of the Master Lease. Any dispute shall be resolved in the courts of the county where the Premises is located, subject to any jurisdiction provisions in the Master Lease.

18. Severability; Entire Agreement

If any provision of this Sublease is held invalid, the remainder shall remain in effect.

This Sublease, together with the Master Lease (Exhibit A), any Landlord consent (Exhibit B), and the exhibits listed below, constitutes the entire agreement between Sublessor and Sublessee concerning the subject matter hereof and supersedes all prior agreements and understandings.
