GEORGIA RESIDENTIAL SUBLEASE AGREEMENT

This Sublease Agreement ("Sublease") is entered into as of [[Sublease Execution Date]] by and between:

Sublessor: [[Sublessor Full Name]], whose current address is [[Sublessor Address]] ("Sublessor"); and

Sublessee: [[Sublessee Full Name]], whose current address is [[Sublessee Current Address]] ("Sublessee").

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease"), entered into between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, subject to the terms of the Master Lease and this Sublease;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

ARTICLE I - PARTIES, PREMISES, AND MASTER LEASE

1. Identification of Parties

Sublessor is the tenant named in the Master Lease and, as between Sublessor and Landlord, retains all obligations thereunder. Sublessee is the individual(s) identified above who will occupy the Premises as a residential sublessee during the Sublease Term. If more than one person constitutes Sublessee, their obligations under this Sublease are joint and several.

2. Master Lease Reference; Attachment

This Sublease is in all respects subject and subordinate to the Master Lease. A true and complete copy of the Master Lease, including all addenda, exhibits, and amendments, is attached hereto as Exhibit A and incorporated herein by reference. Sublessee acknowledges receipt and review of the Master Lease. Sublessor represents and warrants that (a) the Master Lease is currently in full force and effect; (b) Sublessor is not in default under the Master Lease as of the Sublease Execution Date; and (c) Sublessor has not received any uncured notice of default from Landlord.

3. Premises

Sublessor subleases to Sublessee the residential dwelling unit located at [[Property Address, City, Georgia, ZIP Code]] (the "Premises"), together with the following included areas: [[Parking Space(s), Storage, and Other Included Areas, or "None"]]. The Premises shall be used solely as a private residential dwelling and for no other purpose.

4. Governing Law

This Sublease shall be governed by and construed in accordance with the laws of the State of Georgia, including O.C.G.A. Title 44 (Property) and any applicable local ordinances.

ARTICLE II - TERM AND POSSESSION

5. Sublease Term

The Sublease Term commences on [[Sublease Start Date]] (the "Commencement Date") and expires on [[Sublease End Date]] (the "Expiration Date"), unless sooner terminated pursuant to this Sublease or applicable law. The Sublease Term may not extend beyond the expiration date of the Master Lease, which is [[Master Lease Expiration Date]]. Any provision of this Sublease that would cause the Sublease Term to exceed the Master Lease Term is void.

6. Delivery of Possession

Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the condition required by this Sublease. If Sublessor fails to deliver possession on the Commencement Date through no fault of Sublessee, Sublessee's Sublease Rent obligation shall abate on a per-diem basis for each day of delayed delivery. If possession is not delivered within [[Delivery Delay Cap, e.g., 10]] days after the Commencement Date, Sublessee may terminate this Sublease by written notice and shall receive a full refund of all prepaid amounts within five (5) business days.

7. Holding Over

If Sublessee remains in possession after the Expiration Date without the written consent of Sublessor and Landlord, Sublessee shall become a holdover tenant on a month-to-month basis subject to all terms of this Sublease and the Master Lease, at a holdover rent rate of [[Holdover Monthly Rent or 150% of Sublease Rent]], and Sublessee shall be liable for all resulting damages.

ARTICLE III - LANDLORD CONSENT AND RELATIONSHIP TO MASTER LEASE

8. Landlord Consent - Best Practice Recommendation

Georgia has no statute that automatically requires landlord written consent to a sublease. However, it is the strong recommendation and best practice that Sublessor obtain Landlord's prior written consent before entering into this Sublease. Sublessor shall use commercially reasonable efforts to obtain Landlord's written consent in the form attached as Exhibit B (Landlord Consent Form) and deliver it to Sublessee no later than [[Consent Deadline, e.g., 15 days after Sublease Execution Date]].

If Landlord's written consent is not obtained by the deadline, either party may terminate this Sublease by written notice, and all prepaid rent and deposits shall be refunded to Sublessee within five (5) business days.

9. Effect of Consent; No Release of Sublessor

Landlord's consent to this Sublease, if obtained, does not release Sublessor from any obligation under the Master Lease. Sublessor remains fully and primarily liable to Landlord for all Master Lease obligations, including payment of rent and performance of all covenants, throughout the Sublease Term and thereafter. Landlord's consent does not constitute consent to any future sublease, assignment, or further transfer.

10. Subordination

Sublessee's rights under this Sublease are expressly subordinate and subject to all of the terms, conditions, covenants, and provisions of the Master Lease. In the event of any conflict between this Sublease and the Master Lease, the Master Lease shall control as between Landlord and the parties hereto.

11. Incorporation of Master Lease Obligations

Sublessee agrees to be bound by and to comply with all of the obligations of the "Tenant" under the Master Lease as if Sublessee were the original tenant thereunder, except as expressly modified by this Sublease. Sublessee shall not commit any act or omission that would constitute a default under the Master Lease.

ARTICLE IV - RENT AND PAYMENT

12. Sublease Rent; Due Date; Payment Method

Sublessee shall pay Sublessor monthly Sublease Rent of [[Monthly Sublease Rent]], due and payable in advance on the [[Rent Due Day, e.g., first (1st)]] day of each calendar month, without offset, deduction, or demand. Rent shall be paid by [[Accepted Payment Methods, e.g., personal check, bank transfer, electronic payment]] to Sublessor at [[Sublessor's Payment Address or Account]].

13. Proration and Security Deposit

If the Commencement Date falls on a day other than the first of the month, the first month's Sublease Rent shall be prorated on a 30-day-month basis. Sublessee shall pay a security deposit of [[Sublease Security Deposit Amount]] upon execution of this Sublease. The deposit shall be held by Sublessor in accordance with Georgia law and the Master Lease. The deposit shall be returned or accounted for in accordance with the terms of this Sublease and applicable Georgia statutes within thirty (30) days after the end of the Sublease Term and surrender of the Premises.

14. Additional Rent and Charges

Sublessee shall pay all utilities designated as Sublessee's responsibility under the Master Lease or this Sublease. Sublessee shall also pay any late charges, returned payment fees, or other charges permitted by the Master Lease to the extent they arise from Sublessee's actions or omissions.

15. Payment to Landlord

Sublessor remains responsible for paying all rent due under the Master Lease to Landlord. Sublessee's payment of Sublease Rent to Sublessor does not relieve Sublessor of that obligation.

ARTICLE V - USE, CONDITION, MAINTENANCE, AND SURRENDER

16. Permitted Use

The Premises shall be used and occupied by Sublessee solely as a private residence. Sublessee shall not permit any illegal activity, nuisance, or conduct that violates the Master Lease or disturbs other occupants or neighbors.

17. Condition of Premises

Sublessee acknowledges that Sublessee has inspected the Premises (or has had the opportunity to inspect) and accepts the Premises in its present condition, except as noted in the attached Move-In Checklist (Exhibit C). Sublessee shall maintain the Premises in the same condition, reasonable wear and tear excepted, and shall comply with all maintenance obligations of the "Tenant" under the Master Lease.

18. Repairs and Alterations

Sublessee shall not make any alterations, additions, or improvements to the Premises without the prior written consent of both Sublessor and Landlord. Any approved alterations shall become the property of Landlord upon termination unless otherwise agreed in writing.

19. Entry by Sublessor and Landlord

Sublessor and Landlord may enter the Premises in accordance with the notice and entry provisions of the Master Lease and Georgia law for inspections, repairs, showings, and emergencies.

20. Surrender

Upon expiration or earlier termination of this Sublease, Sublessee shall:

1. Vacate the Premises completely.

2. Remove all personal property and belongings.

3. Return all keys, access devices, and remotes to Sublessor.

4. Leave the Premises in a clean, sanitary condition, free of damage beyond ordinary wear and tear.

5. Provide a written forwarding address to Sublessor.

ARTICLE VI - DEFAULT, REMEDIES, AND TERMINATION

21. Default by Sublessee

Sublessee shall be in default if Sublessee:

1. Fails to pay any rent or other sum when due and does not cure within any applicable cure period.

2. Violates any term of this Sublease or the Master Lease and fails to cure after notice.

3. Abandons or vacates the Premises.

4. Permits unauthorized occupants or pets.

5. Engages in illegal activity on the Premises.

22. Remedies

Upon default, Sublessor may exercise all remedies available under the Master Lease, Georgia law, and this Sublease, including termination of this Sublease, recovery of possession, recovery of unpaid rent and damages, and recovery of costs and attorney fees to the extent permitted. Sublessor shall not engage in any self-help eviction methods prohibited by Georgia law.

23. Termination by Sublessor for Cause

Sublessor may terminate this Sublease for cause by providing written notice as required by the Master Lease or Georgia law, after any required cure opportunity.

24. Early Termination by Sublessee

Sublessee may terminate this Sublease early only as permitted by the Master Lease, with Sublessor's written agreement, or as otherwise provided by Georgia law (including any applicable military or domestic violence protections).

ARTICLE VII - LIABILITY, INSURANCE, AND INDEMNIFICATION

25. Liability and Indemnity

Except to the extent caused by Sublessor's or Landlord's negligence or willful misconduct, Sublessee assumes all risk of loss or damage to Sublessee's property and shall indemnify and hold harmless Sublessor and Landlord from and against any claims, damages, or liabilities arising from Sublessee's use or occupancy of the Premises or the acts of Sublessee's guests or invitees.

26. Insurance

Sublessee shall maintain renter's insurance with personal liability coverage of at least [[Renter's Insurance Minimum, e.g., $100,000]] and property coverage for Sublessee's belongings throughout the Sublease Term. Sublessee shall provide proof of insurance to Sublessor upon request. Sublessor's insurance does not cover Sublessee's personal property.

27. Waiver of Subrogation

Each party waives any right of recovery against the other to the extent of insurance proceeds received for loss or damage covered by such insurance.

ARTICLE VIII - ASSIGNMENT AND FURTHER SUBLETTING

28. No Assignment or Further Subletting

Sublessee shall not assign this Sublease or further sublet the Premises or any portion thereof without the prior written consent of both Sublessor and Landlord. Any attempted assignment or subletting without such consent shall be void.

ARTICLE IX - GENERAL PROVISIONS

29. Notices

All notices under this Sublease shall be in writing and delivered in person, by certified mail, or by the method required or permitted under the Master Lease, to the addresses set forth above or to such other address as a party may designate in writing.

30. Entire Agreement

This Sublease, together with the Master Lease (attached as Exhibit A) and any Landlord Consent (Exhibit B), constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations, representations, and agreements. No modification shall be binding unless in writing and signed by both parties.

31. Severability

If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

32. Waiver

No waiver of any breach shall constitute a waiver of any other or subsequent breach. Failure to enforce any term shall not constitute a waiver.

33. Binding Effect

This Sublease shall be binding upon and inure to the benefit of the parties, their heirs, successors, and permitted assigns.

34. Counterparts

This Sublease may be executed in counterparts, each of which shall be deemed an original.

35. Attorney Fees

In any action or proceeding arising out of this Sublease, the prevailing party shall be entitled to recover reasonable attorney fees and costs from the other party, to the extent permitted by law and the Master Lease.
