Iowa Sublease Agreement

This Sublease Agreement (the "Sublease") is made on [[Sublease Execution Date]], by and between [[Sublessor Full Legal Name(s)]] ("Sublessor") and [[Sublessee Full Legal Name(s)]] ("Sublessee").

Sublessor is the tenant under a certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease") between Sublessor and [[Master Landlord Full Legal Name]] ("Landlord") for the premises located at [[Master Property Full Address, City, Iowa ZIP]] (the "Premises").

Sublessor wishes to sublet the Premises to Sublessee, and Sublessee wishes to sublet the Premises from Sublessor, subject to the terms of the Master Lease and this Sublease. This Sublease is governed by Iowa Code Chapter 562A, including provisions related to subletting and remedies.

IMPORTANT: Subletting requires written consent from the Landlord unless the Master Lease expressly permits subletting without consent. The Sublessor remains fully and primarily liable to the Landlord for all rent, obligations, and damages under the Master Lease, including any caused by the Sublessee., -

1. Premises

Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the entire Premises described in the Master Lease:

Including any assigned parking, storage, and furnishings listed in the Master Lease or attached Exhibit.

The Premises shall be used only as a private residence by Sublessee and the additional occupants listed below., -

2. Master Lease Incorporation and Reference

A complete copy of the Master Lease (including all amendments, rules, and exhibits) is attached as Exhibit A and is incorporated herein by reference.

Sublessee acknowledges that Sublessee has received, read, and agrees to be bound by all terms and conditions of the Master Lease as if Sublessee were the original tenant thereunder, except as expressly modified by this Sublease.

In the event of any conflict between the Master Lease and this Sublease, the Master Lease shall control as between Sublessor and Landlord. As between Sublessor and Sublessee, this Sublease shall control., -

3. Term

The term of this Sublease shall be [[Sublease Term Length]], beginning [[Sublease Start Date]] and ending [[Sublease End Date]], provided that such term shall in no event extend beyond the expiration or earlier termination of the Master Lease.

If the Master Lease is terminated for any reason, this Sublease shall automatically terminate on the same date, without liability to Sublessor except for any breach by Sublessor., -

4. Rent and Payment Flow

Sublessee shall pay monthly rent to Sublessor in the amount of $[[Sublease Monthly Rent Amount]], due on the [[Due Day]] of each month.

Sublessor shall remain solely responsible for paying all rent and other sums due to Landlord under the Master Lease on time. Sublessee's payment to Sublessor does not relieve Sublessor of the obligation to pay Landlord.

Any late fees or charges imposed by Landlord on Sublessor for late payment shall be Sublessor's responsibility unless caused solely by Sublessee's late payment to Sublessor., -

5. Security Deposit

Sublessee shall pay a security deposit of $[[Sublease Security Deposit Amount]] to Sublessor upon execution of this Sublease.

Sublessor acknowledges that the Master Lease security deposit of $[[Master Lease Deposit Amount]] remains on deposit with Landlord.

Upon termination of this Sublease and full performance by Sublessee, Sublessor shall return the Sublessee deposit (less lawful deductions) in accordance with Iowa Code § 562A.12 within thirty (30) days after Sublessee vacates and provides forwarding address.

Sublessor shall not apply Sublessee's deposit to any obligation of Sublessor to Landlord., -

6. Landlord Consent

Option A, Prior Written Consent Obtained:

Landlord has given written consent to this sublease, a copy of which is attached as Exhibit B.

Option B, Consent Required (to be obtained):

This Sublease is contingent upon Sublessor obtaining Landlord's prior written consent. Sublessor shall use commercially reasonable efforts to obtain such consent within [[Number]] days. If consent is not obtained, either party may terminate this Sublease by written notice, and any deposit paid by Sublessee shall be returned in full.

Sublessor represents that the Master Lease [[does / does not]] contain an express provision permitting subletting without Landlord consent., -

7. Sublessee's Obligations

Sublessee agrees to:

1. Comply with all terms of the Master Lease and this Sublease.

2. Pay all rent and charges when due under this Sublease.

3. Maintain the Premises in good condition, reasonable wear excepted.

4. Not make alterations without prior written consent of both Sublessor and Landlord.

5. Permit Sublessor and Landlord reasonable access upon proper notice.

6. Not assign this Sublease or further sublet without prior written consent of Sublessor and Landlord.

7. Vacate the Premises upon termination or expiration., -

8. Sublessor's Continuing Liability

Sublessor remains fully liable to Landlord for:

• All rent and other sums due under the Master Lease.

• Any damage to the Premises caused by Sublessee, Sublessee's occupants, or guests.

• Any breach of the Master Lease by Sublessee.

• All other obligations of the original tenant under the Master Lease.

Landlord may pursue Sublessor directly for any default without first pursuing Sublessee. Sublessor retains all rights to seek reimbursement or damages from Sublessee under this Sublease., -

9. Default and Remedies

If Sublessee defaults under this Sublease or the Master Lease, Sublessor may exercise all rights and remedies available under the Master Lease and Iowa law, including termination of this Sublease and recovery of possession, unpaid rent, damages, and costs.

Sublessee shall be entitled to the protections of Iowa Code Chapter 562A as against Sublessor., -

10. Surrender and Condition

Upon termination, Sublessee shall surrender the Premises in the same condition as received, ordinary wear and tear excepted, and in accordance with the surrender provisions of the Master Lease.

Sublessee shall return all keys and access devices to Sublessor., -

11. Insurance

Sublessee shall maintain renter's insurance with liability coverage of at least $[[Minimum Amount]] and shall name Sublessor and Landlord as additional insureds upon request. Sublessee's insurance is primary for Sublessee's personal property and liability., -

12. Indemnification

Sublessee shall indemnify and hold Sublessor and Landlord harmless from and against any claims, damages, or expenses arising from Sublessee's use of the Premises or breach of this Sublease or the Master Lease, except to the extent caused by Sublessor's or Landlord's negligence., -

14. Governing Law

LANDLORD CONSENT TO SUBLEASE

The undersigned Landlord, under the Master Lease dated [[Master Lease Date]] for the Premises at [[Property Address]], hereby consents to the subletting of the Premises by Sublessor to Sublessee under the terms of the attached Sublease Agreement dated [[Sublease Date]].

This consent does not release Sublessor from any liability or obligation under the Master Lease. Sublessor remains fully responsible to Landlord for all performance under the Master Lease.

Landlord reserves all rights and remedies against Sublessor and Sublessee.
