LOUISIANA SUBLEASE AGREEMENT

1. Premises

2. Term of Sublease

3. Rent and Payment

5. Landlord Consent

6. Binding Effect of Master Lease; Sublessee Obligations
Sublessee agrees to be bound by, and to comply fully with, every term, covenant, condition, rule, and obligation contained in the Master Lease as if Sublessee were the original tenant thereunder, including but not limited to:
- Payment of rent and all other charges when due
- Use restrictions and prohibition on illegal activity
- Maintenance, repair, and surrender obligations
- Pet, guest, parking, noise, and conduct rules
- Insurance requirements
- Entry and inspection rights of Landlord
- All disclosure obligations (lead paint, etc.)
A breach of the Master Lease by Sublessee constitutes a breach of this Sublease.
7. Sublessor's Continuing Primary Liability
Sublessor remains fully and primarily liable to Landlord for performance of all obligations under the Master Lease, including payment of rent, even if Sublessee defaults. Nothing in this Sublease releases Sublessor from liability to Landlord. Sublessee's obligations hereunder are in addition to, and do not limit, Sublessor's liability to Landlord.
8. Condition of Premises; Surrender
Sublessee accepts the Premises in its current condition as of the Sublease start date, as documented in the attached Move-In Checklist (Exhibit C) or the Master Lease inventory.
At the end of the Sublease term, Sublessee shall surrender the Premises in the same condition as required of Sublessor under the Master Lease, reasonable wear and tear excepted, and shall return all keys, remotes, and access devices.
Sublessee shall be responsible for any damage beyond normal wear caused during the Sublease term.
9. Assignment and Further Subletting
Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of both Sublessor and Landlord.
10. Default; Termination; Remedies
If Sublessee defaults under this Sublease or the Master Lease terms incorporated herein, Sublessor may terminate this Sublease, recover possession, and pursue all remedies available to a landlord under the Master Lease and Louisiana law, including eviction proceedings.
Sublessor may also recover from Sublessee all amounts Sublessor is required to pay Landlord as a result of Sublessee's default, plus damages, costs, and reasonable attorney fees.
11. Indemnification
Sublessee shall indemnify, defend, and hold harmless Sublessor and Landlord from and against any claims, damages, losses, or expenses (including attorney fees) arising from Sublessee's use of the Premises, breach of this Sublease, or violation of the Master Lease.
12. Notices
Notices shall be given in writing to the addresses in this Sublease or the Master Lease. Notice to Sublessor does not constitute notice to Landlord.
13. Miscellaneous
This Sublease constitutes the entire agreement between Sublessor and Sublessee. Amendments must be in writing signed by both. If any provision conflicts with the Master Lease, the Master Lease controls as to Landlord's rights. Louisiana law governs. Severability applies., -
