Maryland Sublease Agreement

This Sublease Agreement ("Sublease") is entered into as of [[Sublease Execution Date]] by and between:

Sublessor (Original Tenant): [[Sublessor Full Name]], current address [[Sublessor Current Address]] ("Sublessor"); and

Sublessee: [[Sublessee Full Name(s)]], current address [[Sublessee Current Address]] ("Sublessee").

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Execution Date]] (the "Master Lease") between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the residential premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, subject to the terms and conditions set forth herein and in the Master Lease;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows., -

ARTICLE I, PARTIES, PREMISES, AND MASTER LEASE REFERENCE

1. Identification of Parties

Sublessor is the tenant named in the Master Lease. Sublessor retains all obligations to Landlord under the Master Lease. Sublessee is the person(s) who will occupy the Premises during the Sublease Term. If more than one individual is named as Sublessee, their obligations are joint and several.

2. Master Lease Reference and Attachment

This Sublease is made subject and subordinate to the Master Lease in all respects. A complete copy of the Master Lease, including all addenda, amendments, and exhibits, is attached as Exhibit A and incorporated by reference. Sublessee acknowledges having received, read, and understood the Master Lease.

Sublessor represents and warrants that:

1. The Master Lease is in full force and effect as of the Sublease Execution Date.

2. Sublessor is not in default under the Master Lease.

3. Sublessor has not received any uncured notice of default from Landlord.

4. The Master Lease does not prohibit subletting or requires Landlord's prior written consent (to be obtained per Article III).

3. Premises

Sublessor subleases to Sublessee the residential dwelling unit at [[Property Full Address, City, Maryland, ZIP Code]] (the "Premises"), together with any assigned parking, storage, or other appurtenances listed here: [[Parking, Storage, or Other Included Areas or "None"]].

The Premises shall be used solely as a private residence. Sublessee shall not use the Premises for any commercial, unlawful, or other purpose., -

ARTICLE II, TERM AND POSSESSION

4. Sublease Term

The Sublease Term begins on [[Sublease Start Date]] (the "Commencement Date") and ends on [[Sublease End Date]] (the "Expiration Date"), unless terminated earlier in accordance with this Sublease or the Master Lease.

The Sublease Term shall not extend beyond the expiration or termination date of the Master Lease, which is [[Master Lease Expiration Date]]. Any clause in this Sublease that would extend the Sublease Term past the Master Lease Term is void to that extent.

5. Delivery of Possession and Condition

Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the same condition as received under the Master Lease, reasonable wear and tear excepted, and in compliance with all applicable habitability standards under Maryland law.

If possession is not delivered on time through no fault of Sublessee, Sublessee's rent obligation shall abate on a per diem basis. If delivery is delayed more than [[Delivery Delay Cap Days, e.g. 10]] days, Sublessee may terminate this Sublease by written notice and receive a refund of all prepaid amounts within five (5) business days., -

ARTICLE III, LANDLORD CONSENT (Maryland Real Property § 8-401)

6. Requirement of Landlord's Written Consent

Under Maryland Code Annotated, Real Property § 8-401, a tenant may not sublet the premises without the landlord's written consent unless the master lease expressly permits subletting without consent.

This Sublease is expressly conditioned upon obtaining Landlord's prior written consent. Sublessor shall use commercially reasonable efforts to obtain Landlord's written consent in the form attached as Exhibit B (Landlord Consent to Sublease) no later than [[Consent Deadline, e.g. 15 days after Sublease Execution Date]].

If Landlord's written consent is not obtained by the deadline (or any extension agreed in writing), either party may terminate this Sublease by written notice. In such event, Sublessor shall refund all prepaid Sublease Rent and the Security Deposit to Sublessee within five (5) business days, less any amounts already paid to Landlord that are non-refundable.

7. No Release of Sublessor; Continuing Liability

Landlord's consent to this Sublease, if granted, does not release Sublessor from any obligation under the Master Lease. Sublessor remains fully and primarily liable to Landlord for all rent, performance, and other obligations under the Master Lease throughout the Sublease Term and thereafter.

Sublessee takes the Premises subject to all terms, conditions, covenants, and restrictions of the Master Lease. Sublessee agrees to be bound by the Master Lease as if Sublessee were the original tenant thereunder, to the extent applicable to the Sublease Term.

8. Sublease Does Not Create Direct Landlord-Sublessee Privity

Nothing in this Sublease shall be construed to create a direct landlord-tenant relationship between Landlord and Sublessee unless Landlord and Sublessee expressly agree in writing. Sublessor remains the tenant of record with Landlord., -

ARTICLE IV, RENT, PAYMENT, AND FINANCIAL OBLIGATIONS

9. Sublease Rent Amount and Due Date

Sublessee shall pay Sublessor monthly Sublease Rent of [[Monthly Sublease Rent Amount]], due in advance on the [[Due Day, e.g. first (1st)]] day of each month, without offset or deduction, payable by [[Payment Method, e.g. check or electronic transfer]] to [[Sublessor Payment Address or Account Details]].

If the Commencement Date is not the first of the month, the first month's Sublease Rent shall be prorated on a 30-day basis.

10. Sublessor's Obligation to Pay Master Lease Rent

Sublessor remains solely responsible for timely payment of all rent and other sums due to Landlord under the Master Lease. Sublease Rent paid by Sublessee to Sublessor shall be applied by Sublessor to the Master Lease obligations. Sublessee's obligation to pay Sublease Rent is independent of Sublessor's payment to Landlord.

11. Late Charges and Returned Payments

If Sublease Rent is not received within [[Grace Period Days]] after due date, Sublessee shall pay a late charge of [[Late Fee Amount]]. A returned payment fee of [[Returned Payment Fee]] applies to dishonored payments. Late charges must be reasonable.

12. Security Deposit

Sublessee shall pay Sublessor a security deposit of [[Security Deposit Amount]] upon execution of this Sublease (after consent is obtained). The deposit secures Sublessee's performance.

Sublessor shall handle the deposit in accordance with Maryland Real Property § 8-203 and the terms of the Master Lease. Sublessor shall return the deposit (less lawful deductions) to Sublessee within forty-five (45) days after Sublessee vacates, with itemized statement.

Sublessee shall not apply the deposit as last month's rent without Sublessor's written consent., -

ARTICLE V, USE, CONDITION, MAINTENANCE, AND COMPLIANCE

13. Permitted Use and Compliance with Master Lease

Sublessee shall use the Premises only as a private residence and shall comply with all terms of the Master Lease, all applicable laws, and any rules and regulations of the property or homeowners/condominium association.

14. Maintenance and Repairs

Sublessee shall keep the Premises in good order, clean, sanitary, and free from damage beyond ordinary wear and tear. Sublessee shall promptly notify Sublessor (who will notify Landlord as required) of any needed repairs.

Sublessor and Sublessee shall allocate maintenance responsibilities as follows (consistent with Master Lease):

ARTICLE VI, ASSIGNMENT, FURTHER SUBLETTING, AND LIABILITY

16. No Further Assignment or Subletting

Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of Sublessor and Landlord.

17. Liability; Indemnification

Sublessee shall indemnify and hold Sublessor and Landlord harmless from claims arising from Sublessee's use of the Premises or acts of Sublessee or Sublessee's guests, except to the extent caused by Sublessor's or Landlord's negligence or violation of law.

Sublessor remains liable to Landlord for all obligations under the Master Lease., -

ARTICLE VII, DEFAULT, TERMINATION, AND REMEDIES

18. Default by Sublessee

Sublessee is in default if Sublessee fails to pay Sublease Rent when due, breaches any term of this Sublease or the Master Lease, abandons the Premises, or permits unauthorized occupants.

Upon default, Sublessor may pursue all remedies available under the Master Lease and Maryland law, including termination of this Sublease, recovery of possession, damages, and costs. Sublessor shall provide any notices required by the Master Lease or Maryland law before commencing eviction proceedings.

19. Termination of Master Lease

If the Master Lease is terminated for any reason (including by Landlord for Sublessor's default), this Sublease shall automatically terminate on the same date, and Sublessee shall vacate the Premises. Sublessor shall provide prompt written notice to Sublessee.

20. Surrender

At the end of the Sublease Term or upon earlier termination, Sublessee shall surrender the Premises in the condition required by the Master Lease, remove all personal property, return all keys, and provide a forwarding address to Sublessor., -

ARTICLE VIII, NOTICES, GOVERNING LAW, AND GENERAL PROVISIONS

21. Notices

All notices shall be in writing and delivered by personal delivery, certified mail, overnight courier, or as otherwise permitted by the Master Lease or Maryland law. Notices to Sublessor shall be sent to the address above or such other address as Sublessor designates. Notices to Sublessee may be delivered to the Premises.

22. Governing Law

This Sublease shall be governed by the laws of the State of Maryland. Any disputes shall be resolved in the courts of the jurisdiction where the Premises is located, subject to the terms of the Master Lease.

23. Severability; Entire Agreement; Amendments

If any provision is held invalid, the remainder shall continue in full force. This Sublease, together with the Master Lease (Exhibit A) and Landlord Consent (Exhibit B), constitutes the entire agreement between the parties concerning the subject matter. No amendment shall be effective unless in writing and signed by Sublessor and Sublessee (and Landlord where consent is required).

24. Binding Effect

This Sublease binds and benefits the parties, their heirs, successors, and permitted assigns.

25. Counterparts; Electronic Execution

This Sublease may be signed in counterparts and by electronic signature. Electronic or PDF copies have the same effect as originals., -
