MASSACHUSETTS SUBLEASE AGREEMENT
This Sublease Agreement (this "Sublease") is made on [[Sublease Date]] by and between [[Sublessor Full Name(s)]] ("Sublessor") and [[Sublessee Full Name(s)]] ("Sublessee"). Sublessor and Sublessee agree as follows.
1. Reference to Master Lease Sublessor is the tenant under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease") between Sublessor and [[Landlord Full Name]] ("Landlord") for the premises located at [[Property Full Address, City, Massachusetts ZIP]] (the "Premises").
A true and complete copy of the Master Lease, including all amendments, addenda, and exhibits, is attached as Exhibit A and incorporated by reference.
2. Subleased Premises Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the Premises described in the Master Lease, together with any furnishings, parking, storage, and appliances identified in Exhibit C. The Premises shall be used solely as a private residence by Sublessee and the permitted occupants listed in Section 5.
3. Term of Sublease The term of this Sublease begins on [[Sublease Start Date]] and ends on [[Sublease End Date]], unless sooner terminated in accordance with the Master Lease or this Sublease. In no event shall the Sublease term extend beyond the expiration or earlier termination of the Master Lease.
4. Landlord Consent Under Massachusetts law (M.G.L. c.186 §12), subletting is not permitted without the prior written consent of the landlord unless the Master Lease expressly permits subletting without further consent.
Sublessor represents and warrants that:
1. Landlord consent to this Sublease has been obtained in writing (see Exhibit B, Landlord Consent to Sublease), or
2. The Master Lease expressly permits subletting without the need for further landlord consent.
Sublessee acknowledges that this Sublease is contingent upon any required Landlord consent being obtained prior to the Sublease start date. If Landlord consent is required and not obtained, this Sublease shall be voidable by either party, and any prepaid rent or deposit shall be returned promptly to Sublessee.
Sublessor shall deliver a copy of any required Landlord consent to Sublessee before Sublessee takes possession.
5. Occupants The Premises shall be occupied only by Sublessee and: [[Sublessee and Permitted Additional Occupants]].
No additional occupants or long-term guests are permitted without the prior written consent of Sublessor and, if required under the Master Lease, Landlord.
6. Rent Sublessee shall pay monthly rent in the amount of [[Sublease Monthly Rent Amount]] to Sublessor, due on the [[Rent Due Day of Month]] of each month in advance, without offset, deduction, or demand.

Sublessor remains solely responsible for paying all rent and other sums due to Landlord under the Master Lease. Sublessee's payments to Sublessor do not relieve Sublessor of any liability to Landlord.
7. Security Deposit Upon execution of this Sublease, Sublessee shall pay a security deposit of [[Sublessee Security Deposit Amount]] to Sublessor.
Pursuant to M.G.L. c.186 §15B, the security deposit shall not exceed one month's rent. The deposit must be held in a separate, interest-bearing account in a bank located within Massachusetts. Interest shall be paid to Sublessee annually at the rate of five percent (5%) per year or such lesser amount as is actually received by Sublessor from the bank, whichever is less.
The deposit secures Sublessee's faithful performance of the terms of this Sublease and the incorporated Master Lease. It may be applied to unpaid rent, repair of damage beyond ordinary wear and tear, and the reasonable cost of cleaning to return the Premises to the move-in condition.
Within thirty (30) days after the termination of the tenancy and Sublessee's vacating of the Premises, Sublessor shall return the deposit (less any lawful deductions) together with an itemized statement of any deductions, signed under the pains and penalties of perjury, and copies of any receipts or invoices for repairs or cleaning in excess of $125. Failure to return the deposit and statement within 30 days may result in forfeiture of the right to make any deductions.
Sublessor remains fully responsible to Landlord for the original security deposit posted under the Master Lease.
8. Incorporation of Master Lease Terms Sublessee agrees to be bound by and to perform all of the terms, covenants, conditions, and provisions of the Master Lease as if Sublessee were the original tenant named therein, except as expressly modified by this Sublease. Sublessee shall comply with all rules, regulations, obligations regarding use, maintenance, repairs, guests, pets, noise, conduct, and insurance contained in the Master Lease.
Sublessor shall provide Sublessee with a copy of the Master Lease and all current rules, HOA documents, and other materials required to be provided to tenants under the Master Lease.
In the event of any conflict between this Sublease and the Master Lease, the Master Lease shall control as between Landlord and the parties hereto.
9. Sublessor's Continuing Liability to Landlord Sublessor remains fully and primarily liable to Landlord for the payment of all rent and the performance of all covenants and obligations under the Master Lease during the term of this Sublease. Landlord may pursue Sublessor directly for any breach of the Master Lease, whether caused by Sublessee or otherwise.
This Sublease does not release or diminish Sublessor's obligations to Landlord. Sublessee agrees to indemnify, defend, and hold Sublessor harmless from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of Sublessee's breach of this Sublease or the Master Lease, or Sublessee's use or occupancy of the Premises.
10. Sublessee's Rights and Landlord Obligations Sublessee is entitled to the benefit of all rights and protections afforded to tenants under the Master Lease and Massachusetts law, including the implied warranty of habitability (M.G.L. c.186 and c.239). Landlord remains responsible for maintaining the Premises in a habitable condition as required by the Master Lease and applicable law.
11. Use of Premises; Compliance with Laws Sublessee shall use the Premises solely as a private residence and for no other purpose. Sublessee shall comply with all present and future laws, ordinances, rules, and regulations applicable to the Premises and with all terms of the Master Lease.
12. Assignment and Further Subletting Sublessee shall not assign this Sublease or further sublet the Premises or any part thereof without the prior written consent of Sublessor and Landlord (if required under the Master Lease).
13. Default and Remedies If Sublessee breaches any term of this Sublease or the Master Lease and fails to cure within any applicable cure period, Sublessor may exercise all rights and remedies available under the Master Lease and Massachusetts law, including termination of this Sublease and recovery of possession through Summary Process in court. Sublessor shall not engage in any self-help eviction.
14. Surrender Upon the expiration or earlier termination of this Sublease, Sublessee shall surrender the Premises to Sublessor in the same condition as at the commencement of the Sublease term, reasonable wear and tear and damage by fire or other casualty excepted, and shall return all keys, access devices, and other means of entry.
Sublessee shall provide Sublessor with a written forwarding address for purposes of the security deposit accounting.
15. Insurance Sublessee is strongly encouraged, and may be required by the Master Lease, to maintain renter's insurance with personal liability coverage of at least [[Minimum Renter's Insurance Liability Amount]] throughout the Sublease term and to provide proof upon request. Sublessor's insurance does not cover Sublessee's personal property or liability.
16. Indemnification Sublessee shall indemnify and hold Sublessor and Landlord harmless from any claims, damages, losses, or liabilities arising from Sublessee's use or occupancy of the Premises or from any breach of this Sublease or the Master Lease by Sublessee, Sublessee's occupants, or guests.
17. Notices Notices to Sublessee may be delivered to the Premises. Notices to Sublessor shall be sent to [[Sublessor Notice Address, City, State ZIP]].
Sublessor shall promptly forward to Landlord any notices from Sublessee that require Landlord action or response.
18. Governing Law and Venue This Sublease shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts. Any legal action arising out of this Sublease shall be brought in the courts of the county in which the Premises are located.
19. Severability; Entire Agreement; Amendments If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Sublease, together with the attached Master Lease and exhibits, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. This Sublease may be amended only by a written instrument signed by both parties.
20. Counterparts; Electronic Signatures This Sublease may be executed in counterparts and by electronic signature, each of which shall be deemed an original.
21. Servicemembers Civil Relief Act (SCRA) A Sublessee who is a service member may have rights to terminate this Sublease upon entering military service or receiving qualifying orders, upon providing written notice and a copy of the orders as provided by the federal Servicemembers Civil Relief Act (50 U.S.C. § 3955) and any applicable Massachusetts law.
22. Domestic Violence Protections A Sublessee who is a victim of domestic violence, sexual assault, or stalking may have rights to early termination or other protections under Massachusetts law (including M.G.L. c.186 § 15B and c.209A) upon providing the documentation required by law.
23. Lead-Based Paint Disclosure (Pre-1978 Housing) If the Premises was built before 1978, the federal lead-based paint disclosure requirements (42 U.S.C. § 4852d) and EPA pamphlet apply. Sublessor has provided or will provide the required disclosure and pamphlet as an addendum or exhibit.
