This Sublease Agreement ("Sublease") is entered into as of [[Sublease Execution Date]] by and between:

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease"), entered into between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, on the terms and conditions set forth herein;

WHEREAS, under Minnesota law (Minn. Stat. § 504B), the original tenant (Sublessor) remains liable to the landlord for all obligations under the Master Lease, and subleasing typically requires the landlord's prior written consent unless the Master Lease expressly permits subleasing without consent;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:, -

ARTICLE I, PARTIES, PREMISES, AND MASTER LEASE

1. Identification of Parties

Sublessor is the tenant named in the Master Lease and, as between Sublessor and Landlord, retains all obligations thereunder. Sublessee is the individual(s) identified above who will occupy the Premises as a residential sublessee during the Sublease Term. If more than one person constitutes Sublessee, their obligations under this Sublease are joint and several.

2. Master Lease Reference; Attachment

This Sublease is in all respects subject and subordinate to the Master Lease. A true and complete copy of the Master Lease, including all addenda, exhibits, and amendments, is attached hereto as Exhibit A and incorporated herein by reference. Sublessee acknowledges receipt and review of the Master Lease. Sublessor represents and warrants that:

1. The Master Lease is currently in full force and effect.

2. Sublessor is not in default under the Master Lease as of the Sublease Execution Date.

3. Sublessor has not received any uncured notice of default from Landlord.

4. The remaining term of the Master Lease is sufficient to cover the full Sublease Term.

3. Premises

Sublessor subleases to Sublessee the residential dwelling unit located at [[Property Address, City, Minnesota, ZIP Code]] (the "Premises"), together with the following included areas: [[Parking Space(s), Storage, and Other Included Areas, or "None"]]. The Premises shall be used solely as a private residential dwelling and for no other purpose., -

ARTICLE II, TERM AND POSSESSION

4. Sublease Term

The Sublease Term commences on [[Sublease Start Date]] (the "Commencement Date") and expires on [[Sublease End Date]] (the "Expiration Date"), unless sooner terminated pursuant to this Sublease or applicable law. The Sublease Term may not extend beyond the remaining term of the Master Lease, which expires on [[Master Lease Expiration Date]]. Any provision that would cause the Sublease Term to exceed the Master Lease term is void to that extent.

5. Delivery of Possession

Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the condition required by the Master Lease and this Sublease. If Sublessor fails to deliver possession on the Commencement Date through no fault of Sublessee, Sublessee's rent obligation shall abate on a per-diem basis. If possession is not delivered within [[Delivery Delay Cap e.g. 7 days]] after the Commencement Date, Sublessee may terminate this Sublease by written notice and receive a full refund of all prepaid amounts.

6. Holdover

If Sublessee remains in possession after the Expiration Date without Sublessor's and Landlord's written consent, Sublessee shall be a holdover tenant and shall pay holdover rent of [[Holdover Rate e.g. 150% of Sublease Rent]] and shall be liable for all resulting damages, including costs to Sublessor under the Master Lease., -

ARTICLE III, LANDLORD CONSENT AND APPROVAL

7. Landlord Consent, Condition Precedent

This Sublease and Sublessee's right to occupy are expressly contingent upon obtaining Landlord's prior written consent (unless the Master Lease expressly authorizes subleasing without consent). Under Minn. Stat. § 504B, the original tenant remains liable, and landlords commonly require written consent for subleases. Sublessor shall use reasonable efforts to obtain Landlord's written consent in the form attached as Exhibit B (Landlord Consent) and deliver it to Sublessee no later than [[Consent Deadline e.g. 10-15 days after execution]].

If Landlord's written consent is not obtained by the deadline (or if Master Lease requires consent and it is denied), either party may terminate this Sublease by written notice. All prepaid rent and deposits paid by Sublessee shall be refunded within five (5) business days.

8. Effect of Consent; No Release of Sublessor

Landlord's consent to this Sublease does not release Sublessor from any obligation under the Master Lease. Sublessor remains fully and primarily liable to Landlord for all obligations under the Master Lease for the entire Sublease Term and thereafter. Landlord may continue to enforce all Master Lease obligations directly against Sublessor. Consent to this Sublease is not consent to any future sublease or assignment., -

ARTICLE IV, RENT, PAYMENT, AND SECURITY DEPOSIT

9. Sublease Rent

Sublessee shall pay Sublessor monthly Sublease Rent of [[Monthly Sublease Rent Amount]], due in advance on the [[Due Day e.g. 1st]] day of each month, without demand, deduction, or offset. Payment shall be made to [[Sublessor Payment Name]] by [[Payment Methods]] at [[Payment Address or Instructions]]. First month prorated if Commencement Date is not the first of the month.

10. Sublessor's Payment to Landlord

Sublessor remains solely responsible for timely payment of all rent, fees, and other sums due to Landlord under the Master Lease. Receipt of Sublease Rent from Sublessee does not relieve Sublessor of this duty. Sublessor shall indemnify and hold Sublessee harmless from any default, eviction, or damages resulting from Sublessor's failure to pay Landlord.

11. Late Charges and Returned Payments

Sublease Rent is late if not received within [[Grace Period Days]] after due date. Sublessee shall pay a late charge of [[Late Fee Amount or Formula]]. A returned payment fee of [[NSF Fee]] applies. Acceptance of late or partial payment does not waive rights.

12. Security Deposit Under This Sublease

Upon execution (and receipt of Landlord consent), Sublessee shall pay Sublessor a security deposit of [[Sublease Security Deposit Amount]].

1. The deposit secures Sublessee's performance under this Sublease.

2. It may be applied to unpaid Sublease Rent, damage beyond ordinary wear and tear, and cleaning to move-in condition.

3. Sublessor shall return the deposit (less lawful deductions) with an itemized statement within the time required by Minn. Stat. § 504B.178 after Sublessee vacates and provides forwarding address (generally 21 days / three weeks).

4. Sublessee acknowledges that Sublessor may hold a separate deposit under the Master Lease with Landlord. Sublessee's deposit is independent., -

ARTICLE V, INCORPORATION OF MASTER LEASE AND SUBLESSEE OBLIGATIONS

13. Subordination and Incorporation

This Sublease is subject and subordinate to the Master Lease in all respects. In the event of conflict between this Sublease and the Master Lease as between Sublessor and Landlord, the Master Lease controls. As between Sublessor and Sublessee, this Sublease controls except that Sublessee may not take any action that would cause Sublessor to breach the Master Lease.

Sublessee agrees to be bound by all terms and conditions of the Master Lease as if Sublessee were the original "Tenant" thereunder, to the extent such terms relate to use and occupancy of the Premises, including but not limited to:

1. All use restrictions, quiet enjoyment, nuisance, and conduct rules.

2. All maintenance, repair, and care obligations of the tenant.

3. All pet, smoking, parking, guest, and alteration rules.

4. All insurance, liability, and indemnity provisions.

5. Compliance with all laws, ordinances, HOA/condo rules, and regulations.

6. Timely payment of any utilities or services Sublessee is responsible for under this Sublease or the Master Lease.

14. No Direct Rights Against Landlord

Nothing in this Sublease creates a direct landlord-tenant relationship between Landlord and Sublessee, except to the extent Minnesota law may grant Sublessee certain protections. Sublessee's rights are derivative through Sublessor., -

ARTICLE VI, SUBLESSOR'S CONTINUING OBLIGATIONS AND LIABILITY

15. Sublessor Remains Liable

Sublessor shall remain fully liable to Landlord for all obligations under the Master Lease during the entire Sublease Term. This includes payment of rent to Landlord, compliance with all covenants, and performance of any tenant obligations not assumed in writing by Sublessee.

16. Sublessor Duties to Sublessee

Sublessor shall:

1. Maintain the Master Lease in good standing.

2. Timely pay all amounts due to Landlord.

3. Not modify, amend, or terminate the Master Lease in a manner adverse to Sublessee without Sublessee's prior written consent.

4. Promptly forward to Sublessee any notices, demands, or correspondence from Landlord regarding the Premises.

5. Not permit any act or omission that would jeopardize Sublessee's quiet enjoyment., -

ARTICLE VII, DEFAULT, REMEDIES, TERMINATION

17. Default by Sublessee

If Sublessee fails to pay Sublease Rent, violates any term of this Sublease or the incorporated Master Lease terms, or otherwise breaches, Sublessor may:

1. Give written notice and opportunity to cure as required by the Master Lease or Minnesota law.

2. Terminate this Sublease upon failure to cure.

3. Recover possession, unpaid rent, damages, and costs (including any amounts Sublessor owes Landlord due to Sublessee's breach).

4. Apply the Security Deposit as permitted by law.

18. Default by Sublessor

If Sublessor defaults under the Master Lease and such default results in termination of the Master Lease or loss of possession for Sublessee through no fault of Sublessee, Sublessor shall be liable to Sublessee for all resulting damages, including prepaid amounts and reasonable relocation costs, to the extent permitted by law. Sublessee may terminate this Sublease upon such event.

19. Termination of Master Lease

If the Master Lease terminates for any reason (including expiration), this Sublease shall automatically terminate on the same date, and Sublessee shall vacate. Sublessor shall provide prompt written notice to Sublessee of any known termination or non-renewal of the Master Lease., -

ARTICLE VIII, GENERAL PROVISIONS

20. Notices

All notices under this Sublease shall be in writing and delivered as provided in the Master Lease or by personal delivery, first-class mail, or email if agreed. Notices to Sublessor shall go to the address above or as updated. Notices to Sublessee may be delivered to the Premises or Sublessee's address above.

21. Assignment by Sublessee

Sublessee may not further assign or sub-sublet without Sublessor's and Landlord's prior written consent.

22. Governing Law

This Sublease shall be governed by the laws of the State of Minnesota, including Minn. Stat. Chapter 504B. Any disputes shall be resolved in the appropriate court in the county where the Premises are located.

23. Severability; Entire Agreement; Amendments

If any provision is invalid, the remainder continues. This Sublease, together with the Master Lease (as incorporated) and exhibits, constitutes the entire agreement between Sublessor and Sublessee and supersedes all prior agreements. Amendments must be in writing signed by both parties.

24. Electronic Signatures

This Sublease may be executed by electronic signature and in counterparts.

25. Attorneys' Fees

The prevailing party in any enforcement action may recover reasonable attorneys' fees and costs to the extent permitted by Minnesota law.

26. Joint and Several

Multiple Sublessees are jointly and severally liable., -
