Mississippi Sublease Agreement

This Sublease Agreement ("Sublease") is entered into as of [[Sublease Execution Date]] by and between:

Sublessor: [[Sublessor Full Name]], whose current address is [[Sublessor Address]] ("Sublessor"); and

Sublessee: [[Sublessee Full Name]], whose current address is [[Sublessee Current Address]] ("Sublessee").

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease"), entered into between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, on the terms and conditions set forth herein;

WHEREAS, under Mississippi law and the terms of most residential leases, Sublessor must obtain the prior written consent of Landlord before subletting unless the Master Lease expressly permits subletting without consent;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:, -

ARTICLE I, PARTIES, PREMISES, AND MASTER LEASE

1. Identification of Parties

Sublessor is the tenant named in the Master Lease and, as between Sublessor and Landlord, retains all obligations thereunder. Sublessee is the individual(s) identified above who will occupy the Premises as a residential sublessee during the Sublease Term. If more than one person constitutes Sublessee, their obligations under this Sublease are joint and several.

2. Master Lease Reference; Attachment

This Sublease is in all respects subject and subordinate to the Master Lease. A true and complete copy of the Master Lease, including all addenda, exhibits, and amendments, is attached hereto as Exhibit A and incorporated herein by reference. Sublessee acknowledges receipt and review of the Master Lease. Sublessor represents and warrants that (a) the Master Lease is currently in full force and effect; (b) Sublessor is not in default under the Master Lease as of the Sublease Execution Date; and (c) Sublessor has not received any uncured notice of default from Landlord.

3. Premises

Sublessor subleases to Sublessee the residential dwelling unit located at [[Property Address, City, Mississippi, ZIP Code]] (the "Premises"), together with the following included areas: [[Parking Space(s), Storage, and Other Included Areas, or "None"]]. The Premises shall be used solely as a private residential dwelling and for no other purpose., -

ARTICLE II, TERM AND POSSESSION

4. Sublease Term

The Sublease Term commences on [[Sublease Start Date]] (the "Commencement Date") and expires on [[Sublease End Date]] (the "Expiration Date"), unless sooner terminated pursuant to this Sublease or applicable law. The Sublease Term may not extend beyond the expiration date of the Master Lease, which is [[Master Lease Expiration Date]]. Any provision of this Sublease that would cause the Sublease Term to exceed the Master Lease Term is void.

5. Delivery of Possession

Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the condition required by this Sublease. If Sublessor fails to deliver possession on the Commencement Date through no fault of Sublessee, Sublessee's Sublease Rent obligation shall abate on a per-diem basis for each day of delayed delivery. If possession is not delivered within [[Delivery Delay Cap, e.g., 10]] days after the Commencement Date, Sublessee may terminate this Sublease by written notice and shall receive a full refund of all prepaid amounts within five (5) business days., -

ARTICLE III, LANDLORD CONSENT

6. Requirement of Landlord Consent

Mississippi law requires that the original tenant (Sublessor) obtain the prior written consent of the landlord before subletting the premises, unless the Master Lease expressly permits subletting without further consent. Sublessor represents that:

1. The Master Lease [[does / does not]] contain an express provision permitting subletting without landlord consent.

2. If consent is required, Sublessor has obtained or will obtain the written consent of Landlord prior to the Commencement Date and will provide a copy to Sublessee.

7. Effect of Lack of Consent

If Landlord consent is required and has not been obtained in writing prior to the Commencement Date, this Sublease may be voidable at the election of Landlord or Sublessor, and Sublessee may terminate and receive a refund of prepaid amounts. Sublessor shall promptly notify Sublessee of any denial or conditions of consent., -

ARTICLE IV, RENT AND PAYMENTS

8. Sublease Rent

Sublessee shall pay to Sublessor monthly Sublease Rent of $[[Monthly Sublease Rent Amount]], due in advance on the [[Rent Due Day]] of each month. Sublessor remains solely responsible to Landlord for all rent and other sums due under the Master Lease. Sublessee's payment to Sublessor does not constitute payment to Landlord.

9. Payment to Landlord (Optional Flow-Through)

At Sublessor's election, Sublessee may pay rent directly to Landlord, or Sublessor may require Sublessee to pay Sublessor who will remit to Landlord. Regardless of payment path, Sublessor remains fully liable to Landlord for all obligations under the Master Lease.

ARTICLE V, SECURITY DEPOSIT

10. Security Deposit

Sublessee shall pay a security deposit of $[[Sublease Security Deposit Amount]] to Sublessor upon execution of this Sublease. The deposit secures Sublessee's performance under this Sublease and the Master Lease. Sublessor shall hold and account for the deposit in accordance with Miss. Code § 89-8-21 and any terms of the Master Lease. The deposit (or remaining balance after lawful deductions) shall be returned within forty-five (45) days after termination of this Sublease and delivery of possession, subject to itemized deductions for unpaid rent, damage beyond ordinary wear and tear, or other defaults.

Sublessor may apply the deposit to amounts owed by Sublessee and shall provide Sublessee an itemized statement of any deductions. Sublessee acknowledges that the deposit may also be used by Sublessor to satisfy obligations to Landlord arising from Sublessee's occupancy., -

ARTICLE VI, OBLIGATIONS OF SUBLESSEE

11. Incorporation of Master Lease

Sublessee agrees to be bound by and comply with all terms, conditions, rules, and obligations of the Master Lease as if Sublessee were the tenant named therein, including but not limited to: use of premises, maintenance, payment of utilities, prohibition on illegal activity, guest and occupancy limits, pet policy, smoking policy, and insurance requirements. A copy of the Master Lease is attached as Exhibit A.

12. Sublessee's Duties

Sublessee shall:

1. Pay all Sublease Rent and other charges when due.

2. Keep the Premises in a clean, sanitary, and safe condition.

3. Not damage the Premises beyond ordinary wear and tear.

4. Comply with all laws, ordinances, and the rules of the Master Lease.

5. Not assign this Sublease or further sublet the Premises without prior written consent of both Sublessor and Landlord.

6. Permit Sublessor and Landlord reasonable access as provided in the Master Lease.

13. Sublessor's Continuing Liability

Sublessor remains fully and primarily liable to Landlord for all obligations under the Master Lease, including payment of rent, performance of tenant duties, and any damages caused by Sublessee. Nothing in this Sublease releases Sublessor from liability to Landlord. Sublessor shall promptly notify Landlord of this Sublease and provide a copy of any required consent., -

ARTICLE VII, DEFAULT AND REMEDIES

14. Default by Sublessee

If Sublessee fails to pay rent when due, violates any term of this Sublease or the Master Lease, or otherwise defaults, Sublessor may terminate this Sublease and pursue all remedies available under the Master Lease and Mississippi law, including recovery of possession and damages. Sublessor shall provide Sublessee notice and opportunity to cure as required by the Master Lease or applicable law (typically consistent with Miss. Code § 89-7 and § 89-8).

15. Default by Sublessor

If Sublessor defaults under the Master Lease and Landlord terminates the Master Lease, this Sublease shall terminate and Sublessee shall surrender possession. Sublessor shall refund any prepaid Sublease Rent on a pro-rata basis, subject to lawful deductions., -

ARTICLE VIII, SURRENDER AND CONDITION

16. Surrender

At the end of the Sublease Term, Sublessee shall surrender the Premises to Sublessor in the same condition as received, ordinary wear and tear excepted, broom clean, free of personal property, and with all keys and access devices returned.

Sublessee shall be responsible to Sublessor for any damage beyond ordinary wear and tear or any condition that causes Sublessor to incur liability or expense under the Master Lease., -

ARTICLE IX, NOTICES AND MISCELLANEOUS

17. Notices

All notices under this Sublease shall be in writing and delivered in person, by certified mail, or by other method permitted by the Master Lease to the addresses below or such other address as a party designates in writing.

18. Governing Law

19. Entire Agreement; Severability

This Sublease, together with the Master Lease (Exhibit A), any Landlord Consent (Exhibit B), and inspection checklist (Exhibit C), constitutes the entire agreement between Sublessor and Sublessee. It supersedes all prior negotiations. If any provision is invalid, the remainder remains in force.
