Missouri Sublease Agreement

This Sublease Agreement (the "Sublease") is made as of [[Sublease Execution Date]] by and between [[Sublessor Full Legal Name(s)]] ("Sublessor"), whose address is [[Sublessor Mailing Address]], and [[Sublessee Full Legal Name(s)]] ("Sublessee"), whose current address is [[Sublessee Current Address]].

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease"), entered into between [[Landlord Full Legal Name]] ("Landlord") and Sublessor, covering the residential premises described below;

WHEREAS, Sublessor desires to sublet the Premises to Sublessee, and Sublessee desires to sublet the Premises from Sublessor, subject to the terms and conditions of the Master Lease and this Sublease;

NOW, THEREFORE, in consideration of the mutual covenants herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:, -

1. Premises

Sublessor subleases to Sublessee the residential premises located at [[Property Full Address, City, Missouri, ZIP Code]] (the "Premises"), together with any parking, storage, or other appurtenances listed in the Master Lease or as follows: [[Included Parking, Storage, or Appurtenances, or "None additional beyond Master Lease"]].

The Premises shall be used and occupied by Sublessee solely as a private residence and for no other purpose without Sublessor's and Landlord's prior written consent., -

2. Master Lease Incorporation and Subordination

This Sublease is made expressly subject and subordinate to the Master Lease. A complete copy of the Master Lease (including all addenda, exhibits, amendments, and rules) is attached as Exhibit A and incorporated by reference. Sublessee acknowledges having received, read, and agreed to be bound by all terms of the Master Lease as if Sublessee were the original tenant thereunder, except as modified by this Sublease.

Sublessee agrees to perform and comply with every covenant, condition, and obligation of the Master Lease on the part of the tenant to be performed, including but not limited to payment of rent, maintenance, use restrictions, insurance requirements, and compliance with laws., -

3. Landlord Consent, Required Unless Waived

Landlord's prior written consent to this Sublease is required unless the Master Lease expressly waives such requirement. Under Missouri common law and RSMo Chapter 535 (landlord-tenant actions), a tenant generally may not sublet without the landlord's consent unless the lease provides otherwise. Sublessor represents that Sublessor has obtained (or will obtain prior to the Sublease Commencement Date) Landlord's written consent in the form attached as Exhibit B (Landlord Consent to Sublease).

If the Master Lease contains an express waiver of consent or if Landlord provides written consent after execution, such consent shall be attached. If Landlord's consent is required and not obtained by [[Consent Deadline Date]], either party may terminate this Sublease by written notice, and Sublessor shall refund all prepaid amounts to Sublessee within five (5) business days.

Landlord's consent to this Sublease, if given, does not constitute consent to any further assignment or sublease by Sublessee., -

4. Sublease Term

The term of this Sublease (the "Sublease Term") begins on [[Sublease Commencement Date]] and ends on [[Sublease Expiration Date]], unless sooner terminated in accordance with this Sublease or the Master Lease. The Sublease Term shall in no event extend beyond the expiration or earlier termination date of the Master Lease.

Sublessee shall have no right to hold over after the Sublease Expiration Date. Any holding over shall constitute a default under both this Sublease and the Master Lease., -

5. Rent and Payment Flow

Sublessee shall pay to Sublessor monthly rent in the amount of $[[Monthly Sublease Rent Amount]] (the "Sublease Rent"), due and payable in advance on the [[Rent Due Day of Month, e.g., 1st]] day of each calendar month during the Sublease Term, without deduction, offset, or demand.

Payment shall be made by [[Accepted Payment Methods]] to Sublessor at [[Sublessor Payment Address or Instructions]].

Sublessor remains solely responsible to Landlord for timely payment of all rent and other sums due under the Master Lease. Sublease Rent paid by Sublessee to Sublessor does not relieve Sublessor of Sublessor's obligations to Landlord. Sublessor shall apply Sublease Rent received toward Master Lease rent obligations. Sublessee's obligation to pay Sublease Rent is independent of Sublessor's performance to Landlord.

If Sublessee fails to pay Sublease Rent when due, Sublessor may exercise all remedies available under this Sublease and the Master Lease, including termination and eviction proceedings., -

6. Late Charges and Other Fees

If Sublease Rent is not received by Sublessor within [[Grace Period Days, e.g., 5]] days after the due date, Sublessee shall pay a late charge of $[[Late Charge Amount]] or such amount as permitted under the Master Lease or Missouri law. A fee of $[[Returned Payment Fee]] applies to any dishonored payment., -

7. Security Deposit

Upon execution of this Sublease (or upon Landlord consent if later), Sublessee shall pay to Sublessor a security deposit in the amount of $[[Security Deposit Amount]] (the "Security Deposit").

The Security Deposit is held by Sublessor (not Landlord directly) as security for Sublessee's faithful performance of the terms of this Sublease and the Master Lease. Sublessor shall handle the Security Deposit in accordance with any requirements of the Master Lease and Missouri law.

Within [[Deposit Return Period, e.g., 30]] days after Sublessee vacates the Premises and returns all keys, Sublessor shall return the Security Deposit, less any lawful deductions itemized in writing, together with an accounting. Deductions may include unpaid rent, damage beyond ordinary wear and tear, and costs to clean or repair as required by the Master Lease.

Sublessee may not apply the Security Deposit as the last month's rent without Sublessor's prior written consent. The Security Deposit does not limit Sublessor's or Landlord's other remedies., -

8. Sublessee's Obligations and Compliance with Master Lease

Sublessee shall:

1. Comply with all terms, covenants, rules, and regulations of the Master Lease as fully as if Sublessee were the named tenant.

2. Maintain the Premises in good, clean, and sanitary condition, reasonable wear and tear excepted.

3. Promptly pay all utilities and services for which Sublessee is responsible under the Master Lease or this Sublease.

4. Not make alterations, additions, or improvements without Sublessor's and Landlord's prior written consent.

5. Permit Sublessor and Landlord reasonable access for inspection, repairs, and showings upon notice as required by the Master Lease.

6. Not assign this Sublease or further sublet the Premises without prior written consent of Sublessor and Landlord.

7. Vacate the Premises upon termination or expiration in broom-clean condition, removing all personal property and returning all keys and access devices., -

9. Sublessor's Continuing Liability to Landlord

Sublessor remains fully and primarily liable to Landlord for all obligations under the Master Lease throughout the Sublease Term and thereafter. Nothing in this Sublease releases or diminishes Sublessor's liability to Landlord. Sublessor shall indemnify, defend, and hold Sublessee harmless from any claims, damages, costs, or liabilities arising from Sublessor's breach of the Master Lease or failure to remit amounts paid by Sublessee to Landlord.

Sublessee acknowledges that Landlord may pursue remedies directly against Sublessor under the Master Lease without first proceeding against Sublessee., -

10. Default and Remedies

Sublessee shall be in default if Sublessee:

  • Fails to pay Sublease Rent or other amounts when due and fails to cure within any applicable cure period.
  • Violates any term of this Sublease or the Master Lease and fails to cure within any applicable cure period.
  • Abandons or vacates the Premises.
  • Permits unauthorized occupants or pets.
  • Engages in illegal activity on or about the Premises.

Upon default, Sublessor may terminate this Sublease, recover possession through appropriate Missouri court proceedings (e.g., rent and possession or unlawful detainer under RSMo Chapter 535), and recover unpaid amounts, damages, costs, and reasonable attorneys' fees as permitted by law and the Master Lease.

Sublessor shall provide written notice as required by the Master Lease and Missouri law before commencing legal action. Self-help evictions are prohibited., -

11. Condition of Premises; Repairs; Surrender

Sublessee accepts the Premises in its present condition (as-is), subject to any move-in inspection checklist to be completed jointly. Sublessee shall surrender the Premises at the end of the Sublease Term in the same condition, reasonable wear and tear and damage by fire or other casualty excepted, broom clean, free of Sublessee's personal property and debris.

Sublessee shall be responsible for repair of any damage caused by Sublessee, Sublessee's guests, or invitees beyond ordinary wear and tear., -

12. Insurance; Liability; Indemnity

Sublessee shall maintain renter's insurance with personal liability coverage of at least $[[Renter's Liability Minimum, e.g., 100,000]] per occurrence (or as required by Master Lease) throughout the Sublease Term and shall provide proof to Sublessor upon request.

Sublessor and Landlord are not insurers of Sublessee's personal property. Sublessee assumes all risk of loss or damage to Sublessee's property.

Sublessee shall indemnify and hold harmless Sublessor and Landlord from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of Sublessee's use or occupancy of the Premises or breach of this Sublease, except to the extent caused by Sublessor's or Landlord's negligence or willful misconduct., -

13. Assignment and Further Subletting

Sublessee shall not assign this Sublease or sublet the Premises or any part thereof without the prior written consent of both Sublessor and Landlord. Any attempted assignment or sublease without such consent shall be void and shall constitute a material default., -

14. Notices

All notices required or permitted under this Sublease shall be in writing and shall be deemed given when personally delivered, or three (3) days after mailing by certified mail, return receipt requested, or one (1) business day after deposit with overnight courier, to the addresses set forth above or such other address as a party may designate in writing.

Notices to Landlord shall also be provided as required by the Master Lease., -

15. Governing Law; Severability; Entire Agreement

This Sublease shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflicts of law principles. Venue for any action shall lie in the county where the Premises is located.

If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

This Sublease, together with the Master Lease (Exhibit A) and any Landlord Consent (Exhibit B), constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof. It may be amended only by a written instrument signed by Sublessor and Sublessee (and Landlord where consent is required)., -

16. Counterparts; Electronic Signatures

This Sublease may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic signatures shall be deemed valid and binding to the same extent as original ink signatures., -

17. Joint and Several Liability

If Sublessee consists of more than one person, each shall be jointly and severally liable for all obligations of Sublessee under this Sublease., -

18. Time of Essence

Time is of the essence with respect to all obligations of the parties under this Sublease., -

19. Waiver of Jury Trial

To the extent permitted by Missouri law, each party waives the right to a jury trial in any action or proceeding arising out of or relating to this Sublease., -

20. Attorneys' Fees

In any action or proceeding to enforce rights under this Sublease or the Master Lease, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs from the other party, in addition to any other relief awarded., -
