Nevada Sublease Agreement

This Sublease Agreement (the "Sublease") is made on [[Sublease Date]] by and between [[Sublessor Full Name(s)]] ("Sublessor") and [[Sublessee Full Name(s)]] ("Sublessee").

1. Reference to Master Lease Sublessor is the tenant under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease") between Sublessor (as tenant) and [[Master Landlord Full Name]] ("Landlord") for the premises located at [[Master Premises Address]] (the "Premises").

A true and complete copy of the Master Lease is attached hereto as Exhibit A and incorporated by reference. Sublessee acknowledges that Sublessee has received and reviewed a copy of the Master Lease prior to signing this Sublease.

2. Landlord Consent Subletting is permitted only with the express prior written consent of the Landlord unless the Master Lease expressly permits subletting without consent.

If Landlord consent is required and not obtained, this Sublease shall be null and void and any amounts paid by Sublessee shall be refunded.

3. Premises Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the Premises described above, together with any furnishings, parking, and storage identified in the Master Lease or Exhibit C attached hereto: [[Subleased Premises Details, e.g. entire unit or specific rooms]].

4. Term The term of this Sublease shall be [[Sublease Term Length]], commencing [[Sublease Start Date]] and terminating [[Sublease End Date]].

The Sublease term shall not exceed the remaining term of the Master Lease. Sublessee shall vacate no later than the expiration or earlier termination of the Master Lease.

5. Rent and Payment Sublessee shall pay to Sublessor monthly rent in the amount of [[Sublease Monthly Rent]], due on the [[Rent Due Day]] of each month.

Sublessor shall remain responsible for paying all rent and other amounts due to Landlord under the Master Lease. Sublessee's payment to Sublessor does not relieve Sublessor of any obligation to Landlord.

6. Security Deposit Sublessee shall pay a security deposit of [[Sublease Security Deposit Amount]] upon execution of this Sublease.

Sublessor shall hold the deposit in accordance with the Master Lease and NRS 118A.242. Sublessor shall return the deposit (or provide itemized deductions) within the timeframes required by the Master Lease and Nevada law. Sublessee's deposit is separate from any deposit Sublessor paid to Landlord under the Master Lease.

7. Incorporation of Master Lease; Sublessee Obligations Sublessee agrees to be bound by all terms, covenants, and conditions of the Master Lease as if Sublessee were the tenant thereunder, except as modified by this Sublease.

Sublessee shall:
1. Comply with all obligations of the "Tenant" under the Master Lease.
2. Pay all utilities and services designated as tenant responsibilities under the Master Lease or this Sublease: [[Utilities Responsibility]].
3. Not make alterations without prior written consent of both Sublessor and Landlord.
4. Permit Landlord and Sublessor reasonable entry as provided in the Master Lease (minimum 24-hour notice except emergencies per NRS 118A.330).
5. Maintain the Premises in good condition, reasonable wear and tear excepted.

8. Sublessor's Continuing Liability Sublessor remains fully and primarily liable to Landlord for all obligations under the Master Lease, including but not limited to payment of rent, performance of covenants, and liability for damages caused by Sublessee or Sublessee's guests.

This Sublease does not release Sublessor from any liability to Landlord. Sublessee shall indemnify and hold Sublessor harmless from any claims, damages, or liabilities arising from Sublessee's breach of this Sublease or the Master Lease.

9. Assignment and Further Subletting Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of both Sublessor and Landlord.

10. Default and Remedies If Sublessee fails to pay rent when due or breaches any term of this Sublease or the Master Lease, Sublessor may terminate this Sublease, recover possession, and pursue all remedies available under the Master Lease and Nevada law. Sublessee shall be liable for any costs of collection, including reasonable attorney fees.

11. Surrender At the end of the Sublease term, Sublessee shall surrender the Premises in the same condition as received, reasonable wear and tear excepted, remove all personal property, return all keys, and leave the Premises clean and free of debris.

12. Notices Notices under this Sublease shall be in writing and delivered to the addresses below or such other addresses as the parties designate in writing.

Notices to Landlord shall be given as required by the Master Lease.

13. Governing Law This Sublease shall be governed by the laws of the State of Nevada. Any dispute shall be resolved in the courts of the county where the Premises are located.

14. Entire Agreement This Sublease, together with the attached Exhibits, constitutes the entire agreement between the parties concerning the subletting of the Premises and supersedes all prior negotiations. It may be amended only in a writing signed by Sublessor and Sublessee (and Landlord where consent is required).

15. Severability If any provision of this Sublease is held invalid, the remaining provisions shall remain in full force and effect.

17. Indemnification and Insurance

Sublessee shall maintain renter's insurance with liability coverage of at least [[Sublessee Insurance Minimum]] during the Sublease term and shall name Sublessor and Landlord as additional insureds upon request.

Sublessee agrees to indemnify, defend, and hold harmless Sublessor and Landlord from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of Sublessee's use or occupancy of the Premises or breach of this Sublease or the Master Lease.

18. Early Termination

Neither party may terminate this Sublease early except:
1. By mutual written agreement.
2. If the Master Lease is terminated for any reason.
3. For material breach by the other party after written notice and opportunity to cure as provided in the Master Lease.
4. As otherwise permitted by Nevada law (NRS 118A) for uninhabitability or other qualifying circumstances.

19. Holdover

If Sublessee remains in possession after the Sublease term without written consent, Sublessee shall become a holdover tenant at sufferance and shall pay holdover rent of [[Holdover Rent Amount]] per month (or such higher amount as permitted under the Master Lease) plus any damages incurred by Sublessor or Landlord.

20. Attorney Fees

In any action or proceeding to enforce rights under this Sublease, the prevailing party shall be entitled to recover reasonable attorney fees and costs from the other party.

21. Counterparts and Electronic Signatures

This Sublease may be executed in counterparts, each of which shall be deemed an original, and electronic signatures shall be deemed valid and binding., -
