New Hampshire Sublease Agreement

This Sublease Agreement (this "Sublease") is made on [[Sublease Agreement Date]] by and between [[Sublessor Full Legal Name]] ("Sublessor") and [[Sublessee Full Legal Name(s)]] ("Sublessee").

RECITALS

A. Sublessor is the tenant under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease") between Sublessor (as tenant) and [[Master Landlord / Property Owner Full Name]] ("Landlord"), for the residential premises located at [[Master Lease Property Address]], [[City]], New Hampshire [[ZIP Code]] (the "Premises").

B. Sublessor desires to sublet the Premises (or a portion thereof) to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, all subject to the terms and conditions of the Master Lease and this Sublease.

C. Sublessor has obtained (or will obtain prior to the Sublease commencement) the written consent of Landlord to this Sublease, as required by the Master Lease or by New Hampshire law and custom where the Master Lease does not expressly permit subletting without consent.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, Sublessor and Sublessee agree as follows.

1. Definitions and References

"Master Lease" means the lease identified in the Recitals, including all amendments, addenda, and exhibits thereto. "Premises" means the dwelling unit (and any assigned parking, storage, or other rights) described in the Master Lease and this Sublease. "Sublease Term" means the period set forth in Section 4. "Rent" under this Sublease means the amounts payable by Sublessee to Sublessor as set forth in Section 5. All capitalized terms not defined herein have the meanings given in the Master Lease.

2. Premises

Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the Premises located at:

3. Landlord Consent

3.1 This Sublease is expressly conditioned upon Sublessor obtaining and delivering to Sublessee, prior to or upon commencement of the Sublease Term, the written consent of Landlord to this Sublease in a form reasonably acceptable to all parties (the "Landlord Consent").

3.2 If the Master Lease expressly permits subletting without Landlord consent, Sublessor shall provide Sublessee with written notice of such provision and a copy of the relevant Master Lease language prior to commencement.

3.3 Sublessee shall not take possession until Landlord Consent (if required) has been obtained and delivered. If required consent is not obtained within [[Consent Deadline, e.g., 10 days after signing]], either party may terminate this Sublease by written notice, and any prepaid amounts shall be refunded.

3.4 A copy of the Landlord Consent (or the applicable Master Lease provision permitting subletting) is attached as Exhibit C.

4. Sublease Term

5. Rent and Payment

5.1 Sublessee shall pay to Sublessor monthly sublease rent in the amount of $[[Monthly Sublease Rent]], due in advance on the [[Due Day of Month]] day of each month during the Sublease Term.

5.5 If Sublessee fails to pay sublease rent when due, Sublessor may exercise all remedies available under this Sublease, the Master Lease (as incorporated), and New Hampshire law, including service of notice and eviction proceedings. Sublessor may also pursue collection of unpaid amounts plus any late fees permitted by the Master Lease or law.

6. Security Deposit (if any)

6.1 Sublessee shall pay a security deposit in the amount of $[[Sublessee Security Deposit Amount or "None"]] upon execution of this Sublease.

6.2 The security deposit shall be held by Sublessor in accordance with RSA 540-A:5 et seq. and the terms of the Master Lease. Sublessor shall return the deposit (or provide an itemized statement and any balance) within thirty (30) days after termination of the Sublease and surrender of the Premises, subject to permitted deductions.

6.3 Sublessor may apply the deposit to remedy Sublessee defaults or damage caused by Sublessee. Sublessor remains responsible to Landlord for the full Master Lease security deposit.

6.4 Any security deposit paid by Sublessee is separate from and in addition to any deposit Sublessor has paid to Landlord under the Master Lease.

7. Incorporation of Master Lease; Sublessee Bound

7.1 The terms, conditions, covenants, rules, and obligations of the Master Lease are incorporated herein by reference as if fully set forth, except as expressly modified by this Sublease. Sublessee agrees to be bound by and to perform all obligations of the "Tenant" under the Master Lease as they relate to the Premises and the Sublease Term, including but not limited to: use of Premises, maintenance, repairs, alterations, guests, pets, smoking, parking, insurance, entry by Landlord, quiet enjoyment, compliance with laws and rules, and surrender.

7.2 Sublessee shall not commit any act or omission that would constitute a default under the Master Lease. Any breach of the Master Lease by Sublessee shall constitute a breach of this Sublease.

7.3 A full copy of the Master Lease (including all exhibits, addenda, and amendments) has been provided to Sublessee and is attached as Exhibit D (or Sublessee acknowledges prior receipt).

8. Sublessor's Continuing Liability to Landlord

8.1 Sublessor remains primarily and fully liable to Landlord for the performance of all obligations under the Master Lease, including payment of all rent, compliance with all covenants, and repair of any damage, throughout the Master Lease term.

8.2 Nothing in this Sublease releases, diminishes, or modifies Sublessor's obligations to Landlord. Sublessee's performance (or failure to perform) does not relieve Sublessor of liability to Landlord.

8.3 Sublessor shall promptly pay all amounts due to Landlord under the Master Lease and shall take all actions necessary to keep the Master Lease in good standing during the Sublease Term.

9. Relationship of Parties; No Privity with Landlord

9.1 This Sublease creates a landlord-tenant relationship solely between Sublessor and Sublessee. There is no direct landlord-tenant privity between Sublessee and Landlord arising from this Sublease.

9.2 Sublessee acknowledges that Landlord's consent to this Sublease (if obtained) does not create any obligation of Landlord to Sublessee or modify the Master Lease. Landlord may still enforce all rights against Sublessor under the Master Lease.

9.3 In the event of termination or default under the Master Lease, this Sublease shall automatically terminate, and Sublessee shall vacate the Premises upon notice, without liability of Sublessor to Sublessee for such termination (except for refund of any prepaid unearned rent or deposit as required by law).

10. Default; Remedies; Termination

10.1 Sublessee shall be in default under this Sublease if Sublessee:
- Fails to pay Rent when due and fails to cure within any applicable notice period;
- Breaches any term of this Sublease or the incorporated Master Lease and fails to cure after notice;
- Abandons the Premises; or
- Engages in conduct that endangers persons or property or constitutes a nuisance.

10.2 Upon default, Sublessor may pursue all remedies available under New Hampshire law (RSA Chapter 540), the Master Lease, and this Sublease, including termination of this Sublease, eviction, recovery of possession, unpaid rent, damages, and costs.

10.3 Sublessor may terminate this Sublease and recover possession if the Master Lease is terminated for any reason.

10.4 Upon termination or expiration, Sublessee shall surrender the Premises in the condition required by the Master Lease (reasonable wear and tear excepted), remove all personal property, return all keys and access devices, and provide a forwarding address.

11. Liability; Indemnification; Insurance

11.1 Sublessee assumes all risk of loss or damage to Sublessee's personal property. Sublessor is not responsible for loss or damage to Sublessee's property from any cause.

11.2 Sublessee shall indemnify, defend, and hold Sublessor and Landlord harmless from and against any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from Sublessee's use or occupancy of the Premises or the acts or omissions of Sublessee, occupants, or guests.

11.3 Sublessee shall maintain renter's insurance with liability coverage of at least $[[Renter Insurance Minimum]] throughout the Sublease Term and shall name Sublessor (and Landlord if required) as additional insured or interested party upon request. Sublessee shall provide proof upon request.

12. Assignment; Further Subletting

Sublessee shall not assign this Sublease or further sublet the Premises or any portion without the prior written consent of both Sublessor and Landlord (if required by the Master Lease). Any attempted assignment or sub-sublease without such consent shall be void.

13. Entry by Sublessor and Landlord

Sublessor and Landlord (and their agents) may enter the Premises upon reasonable notice (generally 24 hours best practice under RSA 540-A:3) for inspection, repairs, showing to prospective tenants or purchasers, or other lawful purposes, except in emergencies. Sublessee shall not unreasonably withhold consent.

14. Notices

All notices under this Sublease shall be in writing and delivered personally, by certified mail, overnight courier, or by email if the parties have agreed in writing to electronic notice. Notices to Sublessee may be delivered to the Premises. Notices to Sublessor shall be sent to [[Sublessor Notice Address]] or such other address as Sublessor designates.

15. Miscellaneous

15.1 This Sublease constitutes the entire agreement between Sublessor and Sublessee concerning the subletting of the Premises and supersedes all prior negotiations and representations.

15.2 No modification of this Sublease shall be valid unless in writing and signed by both parties (and Landlord if required).

15.3 If any provision is held invalid, the remainder shall remain in effect.

15.4 This Sublease shall be governed by the laws of the State of New Hampshire. Venue shall lie in the county where the Premises is located.

15.5 Time is of the essence with respect to all obligations hereunder.

15.6 Each person signing as Sublessee is jointly and severally liable.
