NEW JERSEY SUBLEASE AGREEMENT

This Sublease Agreement ("Sublease") is entered into as of [[Sublease Execution Date]] by and between:

Sublessee: [[Sublessee Full Name(s)]], whose current address is [[Sublessee Current Address]] ("Sublessee").

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease"), entered into between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, on the terms and conditions set forth herein;

WHEREAS, pursuant to N.J.S.A. § 46:8-1 et seq., subletting requires the express written consent of the Landlord unless the Master Lease expressly permits subletting without consent;

WHEREAS, Sublessor remains jointly and severally liable to Landlord for all obligations under the Master Lease, including payment of rent and repair of damages, regardless of this Sublease;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:, -

ARTICLE I, PARTIES, PREMISES, AND MASTER LEASE

1. Identification of Parties

Sublessor is the tenant named in the Master Lease and, as between Sublessor and Landlord, retains all obligations thereunder. Sublessee is the individual(s) identified above who will occupy the Premises as a residential sublessee during the Sublease Term. If more than one person constitutes Sublessee, their obligations under this Sublease are joint and several.

2. Master Lease Reference; Attachment

This Sublease is in all respects subject and subordinate to the Master Lease. A true and complete copy of the Master Lease, including all addenda, exhibits, and amendments, is attached hereto as Exhibit A and incorporated herein by reference. Sublessee acknowledges receipt and review of the Master Lease. Sublessor represents and warrants that (a) the Master Lease is currently in full force and effect; (b) Sublessor is not in default under the Master Lease as of the Sublease Execution Date; and (c) Sublessor has not received any uncured notice of default from Landlord.

3. Premises

Sublessor subleases to Sublessee the residential dwelling unit located at [[Property Address, City, New Jersey, ZIP Code]] (the "Premises"), together with the following included areas: [[Parking Space(s), Storage, and Other Included Areas, or "None"]]. The Premises shall be used solely as a private residential dwelling and for no other purpose.

4. Landlord Consent

4.1 Consent Requirement. Subletting of the Premises is permitted only with the express prior written consent of Landlord. Sublessor represents that Landlord has provided written consent to this Sublease, a copy of which is attached as Exhibit B (Landlord Consent to Sublease), or that the Master Lease expressly authorizes subletting without further consent.

4.2 No Waiver. Landlord's consent to this Sublease does not constitute a waiver of any provision of the Master Lease or a consent to any future assignment or sublease. Sublessor and Sublessee acknowledge that any further subletting or assignment requires additional written consent from Landlord., -

ARTICLE II, TERM AND POSSESSION

5. Sublease Term

The Sublease Term commences on [[Sublease Start Date]] (the "Commencement Date") and expires on [[Sublease End Date]] (the "Expiration Date"), unless sooner terminated pursuant to this Sublease or applicable law. The Sublease Term may not extend beyond the expiration date of the Master Lease, which is [[Master Lease Expiration Date]]. Any provision of this Sublease that would cause the Sublease Term to exceed the Master Lease Term is void.

6. Delivery of Possession

Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the condition required by this Sublease and the Master Lease. If Sublessor fails to deliver possession on the Commencement Date through no fault of Sublessee, Sublessee's Sublease Rent obligation shall abate on a per-diem basis for each day of delayed delivery. If possession is not delivered within [[Delivery Delay Cap, e.g., 10]] days after the Commencement Date, Sublessee may terminate this Sublease by written notice and shall receive a full refund of all prepaid amounts within five (5) business days.

7. Holding Over

If Sublessee remains in possession after the Expiration Date without the prior written consent of both Sublessor and Landlord, Sublessee shall become a month-to-month tenant subject to all terms of this Sublease and the Master Lease, at a monthly rent equal to [[Holdover Rent Amount or 150% of Sublease Rent]], and Sublessor and Landlord may pursue all remedies available under the Master Lease and New Jersey law, including eviction., -

ARTICLE III, RENT AND FINANCIAL OBLIGATIONS

8. Sublease Rent

Sublessee shall pay monthly Sublease Rent of $[[Sublease Monthly Rent]] in advance on the [[Rent Due Day]] day of each month, without deduction, offset, or demand, payable to Sublessor at [[Sublessor Payment Address or Method]]. The first month's rent is due upon execution of this Sublease. Proration for partial months shall be calculated on a 30-day basis.

9. Payment to Landlord; Sublessor Liability

Sublessor remains solely responsible to Landlord for payment of all rent and other charges due under the Master Lease. Sublessee's payment of Sublease Rent to Sublessor does not relieve Sublessor of liability to Landlord. Sublessor shall pay the Master Lease rent directly to Landlord on time regardless of whether Sublessee pays Sublease Rent.

10. Security Deposit

Upon execution of this Sublease, Sublessee shall pay a security deposit of $[[Sublease Security Deposit Amount]] to Sublessor. Sublessor shall hold this deposit in accordance with N.J.S.A. § 46:8-19 et seq. and shall return it (or itemized deductions) in accordance with the timelines in N.J.S.A. § 46:8-21.1. The deposit secures Sublessee's performance under this Sublease. Sublessor may apply the deposit only for the same purposes permitted under the Master Lease. Sublessor shall provide Sublessee the required notices regarding the bank and interest within 30 days of receipt.

11. Utilities and Services

ARTICLE IV, USE, CONDITION, AND MAINTENANCE

13. Use of Premises

Sublessee shall use the Premises solely as a private residence for Sublessee and the permitted occupants listed in Section 14. Sublessee shall comply with all provisions of the Master Lease, all laws, ordinances, and rules of any homeowners or condominium association, and all reasonable rules adopted by Landlord or Sublessor.

14. Occupants and Guests

The Premises shall be occupied only by Sublessee and: [[Permitted Additional Occupants or "None"]]. A guest staying more than [[Guest Stay Limit, e.g. 14 consecutive days or 30 total in any year]] without Sublessor's and Landlord's prior written consent may be treated as an unauthorized occupant.

15. Condition at Delivery and Surrender

Sublessee acknowledges receipt of the Premises in its current "as-is" condition except as noted on the attached Move-In Inventory & Condition Checklist (Exhibit C). Upon termination, Sublessee shall surrender the Premises in the same condition, reasonable wear and tear excepted, and free of all personal property and debris. Sublessee shall return all keys, garage openers, and access devices to Sublessor.

16. Maintenance and Repairs

Sublessee shall keep the Premises clean, sanitary, and in good order; promptly notify Sublessor of any needed repairs or dangerous conditions; properly use all appliances, plumbing, electrical, and HVAC systems; and replace HVAC filters, light bulbs, and batteries as needed. Sublessee shall be responsible for all damage to the Premises caused by Sublessee, occupants, or guests beyond ordinary wear and tear. Sublessor shall remain responsible to Landlord for maintenance obligations under the Master Lease.

17. Alterations and Improvements

Sublessee shall not make any alterations, additions, or improvements to the Premises without the prior written consent of both Sublessor and Landlord. Any approved alterations shall become the property of Landlord upon termination unless otherwise agreed in writing., -

ARTICLE V, ASSIGNMENT, LIABILITY, AND DEFAULT

18. No Further Assignment or Subletting

Sublessee shall not assign this Sublease or further sublet the Premises or any part thereof without the prior written consent of Sublessor and Landlord. Any attempted assignment or sublease without consent is void and constitutes a material breach.

19. Sublessor's Continuing Liability

Sublessor remains fully liable to Landlord for all rent, damages, and performance under the Master Lease for the entire Master Lease term. This Sublease does not release Sublessor from any obligation to Landlord. Sublessor shall indemnify and hold Sublessee harmless from any claims by Landlord arising from Sublessor's breach of the Master Lease, except to the extent caused by Sublessee's breach of this Sublease.

20. Default and Remedies

Sublessee is in default if Sublessee fails to pay rent when due, breaches any term of this Sublease or the Master Lease, or abandons the Premises. Upon default, Sublessor may exercise all remedies available under the Master Lease and New Jersey law, including service of appropriate notice (3-day pay-or-quit, 7-day cure-or-quit, or unconditional quit as applicable under N.J.S.A. 2A:18-61.1 et seq. where the Anti-Eviction Act applies), termination of this Sublease, recovery of possession, and recovery of unpaid rent, damages, and costs. Sublessor shall not engage in self-help eviction.

21. Landlord's Remedies Against Sublessor

Nothing in this Sublease limits Landlord's rights against Sublessor under the Master Lease. Landlord may pursue Sublessor for any breach, and Sublessor remains liable for all amounts due under the Master Lease even if Sublessee pays Sublease Rent., -

ARTICLE VI, INSURANCE, LIABILITY, AND INDEMNITY

22. Renter's Insurance

Sublessee shall maintain renter's insurance with personal liability coverage of at least $[[Renter Insurance Minimum, e.g. 300000]] throughout the Sublease Term and shall provide proof upon request. Sublessor and Landlord are not responsible for loss or damage to Sublessee's personal property.

23. Indemnity and Waiver

Except to the extent caused by the negligence or willful misconduct of Sublessor or Landlord, Sublessee assumes all risk of injury or damage arising from Sublessee's use of the Premises and shall indemnify and hold harmless Sublessor and Landlord from any claims arising from Sublessee's acts or omissions or those of Sublessee's occupants or guests., -

ARTICLE VII, GENERAL PROVISIONS

24. Notices

All notices under this Sublease shall be in writing and delivered by personal delivery, certified mail, or as otherwise permitted by the Master Lease, to the addresses set forth above or to such other address as a party may designate in writing.

25. Governing Law and Venue

This Sublease shall be governed by the laws of the State of New Jersey. Any legal action shall be brought in the Superior Court of New Jersey, Special Civil Part, or other court of competent jurisdiction in the county where the Premises are located.

26. Severability

If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

27. Entire Agreement

This Sublease, together with the Master Lease (Exhibit A), the Landlord Consent (Exhibit B), and the Move-In Checklist (Exhibit C), constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements. Amendments must be in writing and signed by Sublessor, Sublessee, and Landlord (if consent required).

28. Binding Effect

This Sublease shall be binding upon and inure to the benefit of the parties, their heirs, successors, and permitted assigns, subject to the consent requirements above.

29. Counterparts

This Sublease may be executed in counterparts, each of which shall be deemed an original., -
