NEW MEXICO SUBLEASE AGREEMENT
This Sublease Agreement (this "Sublease") is entered into as of [[Sublease Execution Date]] by and between:

RECITALS

Sublessor is the tenant named in the Master Lease and remains fully responsible to Landlord for all obligations under the Master Lease. Sublessee is the individual(s) who will occupy the Premises as a residential sublessee. If more than one person is Sublessee, their obligations are joint and several.
2. Master Lease Reference and Attachment
This Sublease is subject and subordinate in all respects to the Master Lease. A true, complete, and current copy of the Master Lease (including all addenda, exhibits, amendments, and rules) is attached as Exhibit A and incorporated by reference.
Sublessee acknowledges that Sublessee has received, read, and agrees to be bound by every term of the Master Lease as if Sublessee were the original tenant named therein, except as expressly modified by this Sublease.
Sublessor represents and warrants that:
1. The Master Lease is in full force and effect.
2. Sublessor is not in default under the Master Lease as of the Sublease Execution Date.
3. Sublessor has not received any uncured notice of default from Landlord.
4. The remaining term of the Master Lease extends at least through [[Master Lease Expiration Date]].
3. Premises
Sublessor subleases to Sublessee the residential dwelling unit located at [[Property Full Street Address, including Unit]], [[City]], New Mexico [[ZIP Code]] (the "Premises").

ARTICLE II, TERM
4. Sublease Term
The Sublease Term commences on [[Sublease Start Date]] (the "Commencement Date") and expires on [[Sublease End Date]] (the "Expiration Date"), unless sooner terminated in accordance with this Sublease or the Master Lease.
The Sublease Term may not extend beyond the remaining term of the Master Lease. Any provision that would cause this Sublease to survive the Master Lease is void. If the Master Lease is terminated for any reason, this Sublease shall automatically terminate on the same date.
5. Delivery of Possession
Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the condition required by the Master Lease and this Sublease. If possession is not delivered on time through no fault of Sublessee, Sublease Rent shall abate on a daily basis until delivery. If possession is delayed more than [[Delivery Delay Cap, e.g., 7]] days, Sublessee may terminate this Sublease by written notice and receive a full refund of prepaid amounts., -
ARTICLE III, RENT AND PAYMENTS
6. Sublease Rent

7. Payment to Landlord; Sublessor's Obligation
Sublessor remains solely responsible to Landlord for payment of all rent and other charges due under the Master Lease. Sublessee's payment of Sublease Rent to Sublessor does not relieve Sublessor of any obligation to Landlord.
If Sublessee fails to pay Sublease Rent when due, Sublessor may pursue all remedies against Sublessee under this Sublease and may also be required to pay Landlord under the Master Lease., -
ARTICLE IV, SECURITY DEPOSIT
8. Security Deposit
Sublessee shall pay a security deposit of [[Sublease Security Deposit Amount]] to Sublessor upon execution of this Sublease.
Sublessor shall hold the deposit in accordance with New Mexico law (NMSA 1978 § 47-8-18) and the terms of the Master Lease. Sublessor is solely responsible for returning the deposit (less lawful deductions) to Sublessee within the timelines required by the UORRA, thirty (30) days after termination of this Sublease or receipt of Sublessee's forwarding address, whichever is later.
Landlord is not responsible for the deposit held by Sublessor. Sublessor shall comply with all itemization and return requirements of § 47-8-18 with respect to Sublessee.
Sublessee acknowledges that any deposit held by Landlord under the Master Lease remains the property of Sublessor and is not transferred to Sublessee., -
ARTICLE V, USE, ASSIGNMENT, AND COMPLIANCE
9. Permitted Use and Occupants

Sublessee shall comply with all terms of the Master Lease, this Sublease, and all Rules and Regulations.
10. Assignment and Further Subletting

ARTICLE VI, LANDLORD CONSENT
11. Landlord Consent

12. Sublessor's Continuing Liability
Sublessor remains fully and primarily liable to Landlord for all rent, damages, and other obligations under the Master Lease for the full remaining term, including any extensions or renewals. Sublessee's performance does not release Sublessor from liability to Landlord.
13. Sublessee Bound by Master Lease
Sublessee agrees to be bound by and to perform all obligations of the "tenant" or "resident" under the Master Lease as fully as if Sublessee were named as tenant in the Master Lease, including but not limited to:
- Payment of rent and charges when due to Sublessor
- Maintenance and care of the Premises
- Compliance with all rules, laws, and HOA requirements
- Entry and notice provisions
- Insurance and liability provisions
- Surrender obligations
Any breach of the Master Lease by Sublessee shall constitute a breach of this Sublease.
14. Sublessor's Remedies
If Sublessee defaults under this Sublease or the Master Lease, Sublessor shall have all remedies available under the Master Lease, this Sublease, and New Mexico law (including the UORRA), including termination, eviction, recovery of unpaid amounts, and damages. Sublessor may also be required to cure Sublessee's defaults for Landlord., -
ARTICLE VIII, CONDITION, MAINTENANCE, AND SURRENDER
15. Condition of Premises
Sublessee accepts the Premises in its current "as-is" condition except as noted in any attached inventory or checklist. Sublessor has disclosed any known material defects.
16. Maintenance and Repairs
Sublessee shall maintain the Premises in the condition required by the Master Lease and this Sublease. Sublessee shall promptly notify Sublessor (and Landlord if required) of any needed repairs. Sublessor shall remain responsible to Landlord for maintenance obligations under the Master Lease.
17. Surrender
At the end of the Sublease Term, Sublessee shall surrender the Premises in the condition required by the Master Lease, free of all personal property and debris, with all keys returned to Sublessor. Sublessee shall provide Sublessor with a written forwarding address., -
ARTICLE IX, DEFAULT AND TERMINATION
18. Default by Sublessee
Sublessee is in default if Sublessee fails to pay Sublease Rent when due, violates any term of this Sublease or the Master Lease, or abandons the Premises. Sublessor may serve notices and pursue remedies as provided in the Master Lease and New Mexico law.
19. Termination
This Sublease terminates automatically if the Master Lease terminates for any reason. Sublessor may terminate this Sublease for Sublessee's material breach after providing any notice and cure period required by the Master Lease or law. Sublessee may terminate only as permitted by the Master Lease or by mutual written agreement., -
ARTICLE X, NOTICES
20. Notices
All notices shall be in writing and delivered to the addresses above or such other addresses as the parties designate. Notices to Landlord shall also be provided as required by the Master Lease. Notices to Sublessee may be delivered to the Premises., -
ARTICLE XI, GENERAL PROVISIONS
21. Governing Law
This Sublease shall be governed by the laws of the State of New Mexico, including the Uniform Owner-Resident Relations Act (NMSA 1978 § 47-8-1 et seq.). The Master Lease terms control except as expressly modified herein.
22. Entire Agreement
This Sublease, together with the Master Lease (Exhibit A) and Landlord Consent (Exhibit B), constitutes the entire agreement between Sublessor and Sublessee. It supersedes all prior agreements. No modification is binding unless in writing and signed by Sublessor and Sublessee (and Landlord where required).
23. Severability
If any provision is held invalid, the remainder shall continue in full force.
24. Counterparts; Electronic Signatures
This Sublease may be executed in counterparts and by electronic signature, each of which shall be deemed an original., -
