If more than one person constitutes Sublessee, their obligations under this Sublease are joint and several.
2. Master Lease Reference; Attachment
This Sublease is in all respects subject and subordinate to the Master Lease. A true and complete copy of the Master Lease, including all addenda, exhibits, and amendments, is attached hereto as Exhibit A and incorporated herein by reference. Sublessee acknowledges receipt and review of the Master Lease. Sublessor represents and warrants that (a) the Master Lease is currently in full force and effect; (b) Sublessor is not in default under the Master Lease as of the Sublease Execution Date; and (c) Sublessor has not received any uncured notice of default from Landlord.
3. Premises

ARTICLE II - TERM AND POSSESSION
4. Sublease Term

ARTICLE III - RENT AND SECURITY DEPOSIT
7. Sublease Rent

10. Consent Requirement

12. Effect of Unreasonable Withholding or Non-Response
If the building has four or more units and Landlord unreasonably withholds consent or fails to respond within thirty (30) days after Sublessor's written request (delivered in accordance with the Master Lease and RPL §226-b), Sublessor may proceed with this Sublease without Landlord consent, and Landlord may not terminate the Master Lease or commence eviction proceedings against Sublessor or Sublessee solely on the basis of the sublease. Sublessee remains bound by all terms of this Sublease and the Master Lease as incorporated.
Sublessor shall provide Sublessee with evidence of the consent request and any response (or lack thereof) upon request.

ARTICLE V - OBLIGATIONS AND LIABILITY
13. Incorporation of Master Lease
Sublessee agrees to be bound by all terms, conditions, covenants, and rules of the Master Lease as if Sublessee were the original tenant thereunder, except as expressly modified by this Sublease. Sublessee shall not commit any act or omission that would constitute a default under the Master Lease.
14. Sublessor's Continuing Liability
Sublessor remains fully liable to Landlord for all obligations under the Master Lease, including but not limited to payment of rent, maintenance, and compliance with all lease terms. This Sublease does not release Sublessor from any liability to Landlord.
15. Sublessee's Direct Obligations
Sublessee shall:
1. Pay all Sublease Rent and other charges when due.
2. Maintain the Premises in the condition required by the Master Lease (reasonable wear and tear excepted).
3. Comply with all laws, rules, and regulations applicable to the Premises.
4. Not make alterations without prior written consent of Sublessor and Landlord (where required).
5. Permit Sublessor and Landlord reasonable access for inspections and repairs upon proper notice.
6. Vacate the Premises at the end of the Sublease Term in broom-clean condition, free of all personal property and occupants.
16. No Privity with Landlord
Nothing in this Sublease creates privity of estate or contract between Sublessee and Landlord. Sublessee's sole contractual relationship regarding occupancy is with Sublessor. However, Sublessee acknowledges that Landlord may enforce remedies against Sublessor that affect possession.

ARTICLE VI - DEFAULT, TERMINATION, AND REMEDIES
17. Default by Sublessee
If Sublessee fails to pay rent when due, violates any term of this Sublease or the incorporated Master Lease, or abandons the Premises, Sublessor may:
1. Terminate this Sublease upon proper written notice as required by the Master Lease and New York law.
2. Recover possession through appropriate legal proceedings.
3. Recover all unpaid rent, damages, costs of re-renting, and reasonable attorney fees to the extent permitted by the Master Lease and applicable law.
18. Default by Sublessor
If Sublessor defaults under the Master Lease and Landlord commences proceedings that affect Sublessee's possession, Sublessor shall promptly notify Sublessee. Sublessee may pursue remedies against Sublessor for breach of this Sublease, including recovery of prepaid rent and deposit (subject to lawful deductions).
19. Early Termination
Neither party may terminate this Sublease early except:
- By mutual written agreement.
- If the Master Lease is terminated for reasons not caused by Sublessor or Sublessee.
- Pursuant to casualty, condemnation, or other provisions in the Master Lease that permit termination.
- If Landlord consent is required and finally denied after Sublessor has made a good-faith request, Sublessee may terminate and receive refund of prepaid amounts (less any non-refundable fees disclosed).

ARTICLE VII - SECURITY DEPOSIT AND MOVE-OUT
20. Security Deposit Return
Sublessor's obligations regarding return of Sublessee's security deposit are governed by NY GOL §7-108 (14-day return with itemized statement) and any stricter provisions in the Master Lease. Sublessor shall provide an itemized statement of any deductions and return the balance (or the full deposit) within the statutory period after Sublessee vacates and returns keys.
21. Surrender
Upon expiration or earlier termination of this Sublease, Sublessee shall surrender the Premises to Sublessor in the same condition as at the commencement of the Sublease Term, reasonable wear and tear and damage by fire or other casualty excepted, and free of all personal property and occupants.

ARTICLE VIII - MISCELLANEOUS
22. Notices
All notices under this Sublease shall be in writing and delivered by certified mail, overnight courier, or hand delivery with receipt to the addresses set forth above (or such other addresses as a party may designate in writing). Notice is effective upon receipt or, if mailed, three (3) days after mailing.
23. Governing Law
This Sublease shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law principles. Any legal action shall be brought in the appropriate court in the county where the Premises are located.
24. Entire Agreement
This Sublease, together with the Master Lease (Exhibit A) and any attached exhibits, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. No modification shall be binding unless in writing and signed by both parties.
25. Severability
If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
26. Counterparts
