RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease"), entered into between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, on the terms and conditions set forth herein;

WHEREAS, Subletting is permitted only with the prior written consent of Landlord as required by the Master Lease and North Dakota law, unless the Master Lease expressly waives the consent requirement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

1. Premises

Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the residential premises located at:

(the "Premises"), including any assigned parking, storage, or other appurtenances described in the Master Lease.

The Premises shall be used solely as a private residence by Sublessee and the permitted occupants listed in Section 6.

The Master Lease is incorporated by reference into this Sublease as if fully set forth herein. A complete copy of the Master Lease (including all amendments and addenda) is attached as Exhibit A and delivered to Sublessee with this Sublease.

Sublessee acknowledges having received, read, and agreed to be bound by all terms of the Master Lease, except as expressly modified by this Sublease.

3. Landlord Consent

Subletting of the Premises requires the prior written consent of Landlord.

Sublessor shall provide Landlord with a copy of this executed Sublease and obtain written consent before Sublessee takes possession. Landlord's consent, if granted, does not release Sublessor from liability under the Master Lease.

4. Term of Sublease

The Sublease Term shall not extend beyond the expiration date of the Master Lease ([[Master Lease Expiration Date]]). If the Master Lease terminates early for any reason, this Sublease shall automatically terminate on the same date, without liability to Landlord.

Sublessee shall vacate the Premises upon the earlier of the Sublease End Date or termination of the Master Lease.

5. Rent and Payment

7. Security Deposit

This deposit is separate from and in addition to the deposit Sublessor provided to Landlord under the Master Lease ($[[Master Lease Security Deposit Amount]]).

Sublessor shall hold Sublessee's deposit in accordance with N.D. Cent. Code § 47-16-07.1 and return it (less lawful deductions) within 30 days after the Sublease Term ends and Sublessee vacates and provides a forwarding address.

Landlord's security deposit from Sublessor is unaffected by this Sublease and will be returned to Sublessor per the Master Lease terms.

8. Utilities and Services

Sublessee shall be responsible for payment of the following utilities and services during the Sublease Term:

9. Maintenance, Repairs, and Entry

Sublessor shall perform or cause to be performed all landlord maintenance obligations under the Master Lease. Sublessee shall promptly notify Sublessor in writing of any needed repairs.

Landlord and Sublessor (or their agents) may enter the Premises upon reasonable notice as provided in the Master Lease (typically 24 hours) for inspection, repairs, and showings.

10. Assignment and Further Subletting

Sublessee shall not assign this Sublease or sublet the Premises or any portion thereof without the prior written consent of both Sublessor and Landlord.

11. Sublessor's Continuing Liability to Landlord

Sublessor remains jointly and severally liable with Sublessee to Landlord for full and timely performance of all obligations under the Master Lease, including but not limited to payment of rent, compliance with use restrictions, and repair of any damage caused during the Sublease Term.

Landlord may pursue Sublessor, Sublessee, or both for any breach. Sublessor shall indemnify and hold Landlord harmless from any claims arising from Sublessee's occupancy.

12. Default and Remedies

Sublessee shall be in default under this Sublease if Sublessee:

1. Fails to pay rent when due and does not cure within any applicable cure period.

2. Violates any term of this Sublease or the incorporated Master Lease.

3. Abandons or vacates the Premises before the end of the Sublease Term.

Upon default, Sublessor may terminate this Sublease, recover possession, and pursue all remedies available under the Master Lease and North Dakota law, including recovery of unpaid rent for the remainder of the term (subject to mitigation).

13. Surrender and Condition of Premises

At the end of the Sublease Term, Sublessee shall:

1. Remove all personal property and return all keys, access devices, and remotes to Sublessor.

2. Leave the Premises clean, sanitary, and in the same condition as at the start of the Sublease Term, ordinary wear and tear excepted.

3. Provide Sublessor with a written forwarding address for deposit accounting.

4. Return the Premises to Sublessor in time for Sublessor to meet any surrender obligations under the Master Lease.

14. Indemnification

Sublessee shall indemnify, defend, and hold harmless Sublessor and Landlord from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from Sublessee's use or occupancy of the Premises or from any breach of this Sublease by Sublessee or Sublessee's guests or invitees.

15. Governing Law and Venue

This Sublease shall be governed by and construed in accordance with the laws of the State of North Dakota. Any disputes shall be resolved in the state or federal courts located in the county where the Premises is situated.

16. Notices

All notices under this Sublease shall be in writing and delivered to the addresses set forth above (or updated in writing), with copies to Landlord at the address in the Master Lease. Notice shall be deemed given upon personal delivery, or three days after mailing by certified mail.

17. Severability

If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement; Amendments

This Sublease, together with the Master Lease (Exhibit A) and any Landlord Consent (Exhibit B), constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations. It may be amended only in a writing signed by Sublessor and Sublessee (and Landlord where consent is required).

19. Counterparts and Electronic Signatures

This Sublease may be executed in counterparts, each of which shall be deemed an original, and electronic signatures shall be deemed valid and binding.
