This Sublease is made pursuant to section 97 of the *Residential Tenancies Act, 2006*, S.O. 2006, c. 17 (the "RTA"). The Sublessor remains fully liable to the Landlord for all obligations under the Master Lease. The Sublessee acquires the same rights against the Sublessor as the Sublessor has against the Landlord under the Master Lease (RTA s. 97(5))., -
1. Premises
The Sublessor sublets to the Sublessee, and the Sublessee sublets from the Sublessor, the Premises described in the Master Lease:

2. Term of Sublease

The Sublease Term shall not exceed the remaining term of the Master Lease. If the Master Lease ends or is terminated earlier, this Sublease automatically ends on the same date (subject to any rights of the Sublessee against the Sublessor).
Upon expiration or earlier termination of this Sublease, the Sublessee shall vacate and return possession to the Sublessor (or as directed), unless the Landlord and parties agree to an assignment of the Master Lease., -
3. Rent Payable by Sublessee

4. Last Month's Rent Deposit under Sublease

The Sublessee acknowledges that the Landlord under the Master Lease holds any original LMR deposit from the Sublessor and is not a party to any deposit under this Sublease., -
5. Permitted Occupants and Guests

6. Landlord Consent
Landlord consent is required for this Sublease under RTA s. 97.

A copy of the Landlord's written consent (or the signed consent form) is attached as Exhibit B.
The Sublessor and Sublessee acknowledge that:
1. The Landlord's consent to sublet does not release the Sublessor from any liability under the Master Lease.
2. The Sublessee does not become a direct tenant of the Landlord by virtue of this Sublease unless and until an assignment is completed with Landlord consent.
3. The Sublessor must provide the Landlord with a copy of this Sublease upon request., -
7. Incorporation of Master Lease Terms
The Sublessee agrees to be bound by all terms and conditions of the Master Lease as if the Sublessee were the original tenant thereunder, except as expressly modified by this Sublease.
Without limiting the foregoing, the Sublessee agrees to comply with:
1. All covenants regarding use, maintenance, repairs, entry, and conduct in the Master Lease.
2. All building rules, condominium bylaws (if applicable), and municipal requirements.
3. Rent payment timing and any applicable rent increase rules during the Sublease Term (as passed through by Sublessor if Master Lease rent increases).
4. All termination and notice requirements.
A full copy of the Master Lease (with any schedules and the standard lease appendix) is attached as Exhibit A and forms part of this Sublease., -
8. Sublessor's Continuing Liability
The Sublessor remains jointly and severally liable with the Sublessee to the Landlord for:
- Full and timely payment of all rent and other amounts due under the Master Lease.
- Performance of all tenant obligations under the Master Lease.
- Any damage to the Premises caused during the Sublease Term (whether by Sublessee or Sublessor).
- Compliance with all RTA obligations.
The Landlord may pursue the Sublessor, the Sublessee, or both for any breach during the Sublease Term. The Sublessor has full recourse against the Sublessee under this Sublease and at law for any amounts paid to the Landlord on the Sublessee's behalf., -
9. Maintenance and Repairs
Sublessor obligations to Sublessee: The Sublessor shall ensure that the Landlord fulfills its maintenance obligations under the Master Lease and RTA. If the Landlord fails to repair, the Sublessor shall take all reasonable steps (including LTB applications) to compel repairs.
Sublessee obligations: The Sublessee shall maintain the Premises in the condition required by the Master Lease, report needed repairs promptly to the Sublessor in writing, and be responsible for damage caused by Sublessee, occupants, or guests beyond ordinary wear and tear., -
10. Right of Entry
The Sublessee acknowledges the Landlord's and Sublessor's rights of entry under RTA s. 27 (24 hours' written notice, 8 a.m., 8 p.m., specific reasons). The Sublessor shall provide the Sublessee with any required notices received from the Landlord.
The Sublessor may enter the Premises with the same notice rights as a landlord under the RTA for purposes of showing the Premises to prospective assignees or for inspections related to the Master Lease., -
11. Assignment and Further Subletting Prohibited
The Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of both the Sublessor and the Landlord (which may not be unreasonably withheld).
Any attempted assignment or further sublet without consent is void and constitutes a breach., -
12. Default and Termination
The Sublessee is in default if the Sublessee:
1. Fails to pay Sublease rent when due.
2. Breaches any term of this Sublease or the incorporated Master Lease.
3. Causes damage or nuisance.
4. Permits unauthorized occupants.
On default, the Sublessor may terminate this Sublease by appropriate notice and pursue possession and damages. The Sublessor must still satisfy the Landlord under the Master Lease.
If the Master Lease is terminated for any reason (including Sublessor default), this Sublease terminates automatically. The Sublessee's remedies lie solely against the Sublessor., -
13. Surrender of Premises
At the end of the Sublease Term (or upon earlier termination), the Sublessee shall:
1. Vacate the Premises completely.
2. Remove all personal property and debris.
3. Return all keys, access devices, and remotes to the Sublessor.
4. Leave the Premises in the same condition as received, reasonable wear and tear excepted, as documented in the move-in inspection.
5. Provide a forwarding address in writing.
The Sublessor shall conduct a move-out inspection with the Sublessee (or offer the opportunity) and provide a written statement of any claimed damage beyond ordinary wear and tear within a reasonable time., -
14. Deposit Return under Sublease
If an LMR deposit was collected under this Sublease, the Sublessor shall apply it to the Sublessee's final month under this Sublease or return the deposit plus accrued guideline interest within a reasonable time after the Sublease ends and receipt of Sublessee's forwarding address, with an itemized statement of any permitted adjustments.
The Sublessor shall provide the Sublessee with a separate accounting letter in the form of an Ontario rent deposit return letter., -
15. Notices
Notices between Sublessor and Sublessee shall be in writing and delivered by personal delivery, mail, or email (if consented). Notices required to be given to the Landlord shall be handled by the Sublessor in accordance with the Master Lease and RTA., -
16. Severability and Entire Agreement
If any provision conflicts with the RTA, it is modified to the minimum extent necessary. The remainder remains in force.
This Sublease, together with the attached Exhibits A (Master Lease) and B (Landlord Consent), and any schedules, constitutes the entire agreement between Sublessor and Sublessee. Amendments must be in writing and signed by both., -
17. Governing Law
This Sublease is governed by the laws of Ontario and the RTA. Disputes between Sublessor and Sublessee may be resolved at the Landlord and Tenant Board (where the Sublessee has rights equivalent to a tenant against the Sublessor) or in the courts., -
18. Joint and Several Liability
If there is more than one Sublessee, each is jointly and severally liable., -
