1. Master Lease and Recitals

2. Subleased Premises

3. Sublease Term

4. Rent

5. Landlord Consent, Mandatory

Landlord may refuse consent only for serious reasons (e.g., proposed sublessee's inability to pay, history of serious breaches, or other legitimate concerns). Refusal for arbitrary or unreasonable reasons may be challenged by Sublessee or Sublessor before the Tribunal administratif du logement (TAL).

Sublessee's obligations to Sublessor under this Sublease are in addition to, and do not relieve, Sublessor's obligations to Landlord.

Landlord may enforce the Master Lease directly against Sublessor.

7. Sublessee's Obligations

Sublessee agrees to:

  • Comply with all terms of the Master Lease as if Sublessee were the tenant thereunder (except for payment of rent to Landlord, which remains Sublessor's duty).
  • Pay rent to Sublessor as set out in Section 4.
  • Use the Premises only as a private residence.
  • Not assign this Sublease or further sublet without Sublessor's and Landlord's prior written consent.
  • Maintain the Premises in good condition, reasonable wear and tear excepted.
  • Comply with all building rules and applicable laws.
  • Permit Landlord and Sublessor reasonable access on proper notice.
  • Not cause nuisance or damage.

Sublessee has no greater rights than Sublessor under the Master Lease.

8. Assignment versus Sublease, Distinction

  • Sublease: Sublessor retains the Master Lease and remains liable to Landlord. Sublessee has rights only against Sublessor (and indirectly through Sublessor to Landlord). This document is a sublease.
  • Assignment: Sublessor would transfer the entire remaining interest in the Master Lease to another party, who steps into Sublessor's shoes and becomes directly liable to Landlord. Assignment requires separate documentation and Landlord consent.

The parties confirm this is a sublease, not an assignment. Sublessor does not assign the Master Lease.

9. Security Deposit

No security deposit may be collected by Sublessor from Sublessee beyond what is permitted under the Master Lease and Quebec law. Security deposits are generally prohibited in Quebec residential tenancies (see CCQ art. 1904 and the separate Security Deposit Return guidance).

Any amount collected must comply with the first-month-rent-only rule. Sublessee should not pay, and Sublessor should not collect, any unlawful deposit.

10. Termination and Surrender

This Sublease terminates automatically upon termination or expiry of the Master Lease.

Sublessee shall surrender the Premises at the end of the Sublease Term in the condition required by the Master Lease and this Sublease, removing all personal property, returning all keys and access devices, and leaving the Premises clean and undamaged beyond ordinary wear and tear.

Sublessor shall conduct any required move-out inspection and coordinate with Landlord as required by the Master Lease.

11. Default and Remedies

If Sublessee breaches this Sublease or the incorporated Master Lease terms, Sublessor may pursue remedies available under the Master Lease and Quebec law, including application to the TAL where appropriate.

Sublessor remains liable to Landlord for any breach by Sublessee.

If Landlord unreasonably refuses consent to a sublease, Sublessee or Sublessor may apply to the TAL for appropriate relief (e.g., authorization of the sublease or damages).

12. Notices

Notices to Sublessor and Sublessee shall be given at the addresses above or as otherwise designated in writing.

Notice to Landlord of sublease: Sublessor shall deliver written notice of the sublease (including Sublessee's identity and the Sublease Term) to Landlord at least 15 days before the sublease commences (or as otherwise required).

13. Governing Law and Jurisdiction

This Sublease is governed by the laws of Quebec, including the Civil Code of Québec (particularly arts. 1870, 1876 on subleases) and the Act respecting the Tribunal administratif du logement.

The TAL has jurisdiction over disputes arising from residential leases and subleases in Quebec.

14. Severability and Entire Agreement

If any provision is invalid, the remainder remains in effect.

This Sublease, together with the Master Lease (Exhibit A), Landlord consent (Exhibit B), and any additional schedules, constitutes the entire agreement between Sublessor and Sublessee concerning the sublease. It does not modify the Master Lease as between Sublessor and Landlord.

Amendments must be in writing and signed by Sublessor and Sublessee (and Landlord where consent is required).
