Rhode Island Sublease Agreement

This Sublease Agreement (the "Sublease") is entered into as of [[Sublease Execution Date]] by and between:

Sublessor: [[Sublessor Full Name]], whose current address is [[Sublessor Full Address]] ("Sublessor"); and

Sublessee: [[Sublessee Full Name]], whose current address is [[Sublessee Full Address]] ("Sublessee").

This Sublease is governed by the Rhode Island Residential Landlord and Tenant Act, R.I. Gen. Laws § 34-18-1 et seq. (the "Act").

RECITALS

WHEREAS, Sublessor is the tenant of record under that certain Residential Lease Agreement dated [[Master Lease Execution Date]] (the "Master Lease"), entered into between [[Landlord Full Name]] ("Landlord") and Sublessor, covering the residential premises described below;

WHEREAS, Sublessor desires to sublease the Premises to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, subject to the terms and conditions set forth herein and to the Master Lease;

WHEREAS, subletting under the Act requires the prior written consent of the Landlord pursuant to R.I. Gen. Laws § 34-18-25;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

ARTICLE I, PARTIES, PREMISES, AND MASTER LEASE

1. Identification of Parties

Sublessor is the tenant named in the Master Lease. Sublessee is the individual or individuals who will occupy the Premises as a residential subtenant. If Sublessee consists of more than one person, their obligations under this Sublease are joint and several.

2. Master Lease Reference and Attachment

This Sublease is subject and subordinate to the Master Lease in all respects. A true, complete, and current copy of the Master Lease, together with all addenda, exhibits, and amendments, is attached as Exhibit A and incorporated by reference. Sublessee acknowledges that Sublessee has received, read, and understands the Master Lease. Sublessor represents that:

(a) the Master Lease is in full force and effect;

(b) Sublessor is not in default under the Master Lease as of the Sublease Execution Date; and

(c) Sublessor has not received any uncured notice of default from Landlord.

3. Premises

Sublessor subleases to Sublessee the residential dwelling unit located at [[Full Property Address, City, Rhode Island, ZIP]] (the "Premises"), together with any assigned parking, storage, or other appurtenances listed in Exhibit A. The Premises shall be used solely as a private residence and for no other purpose without the prior written consent of both Sublessor and Landlord., -

ARTICLE II, TERM AND POSSESSION

4. Sublease Term

The Sublease term begins on [[Sublease Commencement Date]] and ends on [[Sublease Expiration Date]], unless sooner terminated or extended as provided in this Sublease or the Master Lease. The Sublease term shall not extend beyond the expiration date of the Master Lease, which is [[Master Lease Expiration Date]]. Any provision attempting to extend the Sublease beyond the Master Lease term is void.

5. Delivery of Possession

Sublessor shall deliver possession of the Premises to Sublessee on the Commencement Date in the condition required by the Master Lease and this Sublease. If possession is not delivered on the Commencement Date through no fault of Sublessee, Sublessee's obligation to pay Sublease Rent shall abate on a daily basis until possession is delivered. If possession is delayed more than [[Delivery Delay Maximum Days]] days, Sublessee may terminate this Sublease by written notice and receive a full refund of all prepaid amounts within five (5) business days., -

ARTICLE III, LANDLORD CONSENT

6. Requirement of Written Landlord Consent

Pursuant to R.I. Gen. Laws § 34-18-25, Sublessor shall not sublet the Premises without the prior written consent of Landlord. This Sublease is expressly contingent upon Sublessor obtaining Landlord's prior written consent in the form attached as Exhibit B (Landlord Consent to Sublease). Sublessor shall use best efforts to obtain such consent and deliver a fully executed copy to Sublessee no later than [[Landlord Consent Deadline Date]].

If Landlord's written consent is not obtained by the deadline, either party may terminate this Sublease by written notice to the other. Upon such termination, all prepaid Sublease Rent and the Security Deposit shall be returned to Sublessee within five (5) business days.

7. Effect of Consent; No Release of Sublessor

Landlord's consent to this Sublease does not release or diminish Sublessor's obligations under the Master Lease. Sublessor remains fully and primarily liable to Landlord for all performance under the Master Lease during the entire Sublease term and thereafter. Landlord's consent does not constitute consent to any further sublease, assignment, or transfer by Sublessee or Sublessor., -

ARTICLE IV, RENT AND PAYMENT

8. Sublease Rent

Sublessee shall pay to Sublessor monthly Sublease Rent in the amount of [[Monthly Sublease Rent Amount]], due and payable in advance on the [[Rent Due Day of Month]] day of each calendar month, without offset, deduction, or demand. Payment shall be made by [[Accepted Payment Methods]] to Sublessor at [[Sublessor Payment Address or Instructions]].

If the Commencement Date is not the first of the month, the first month's Sublease Rent shall be prorated on a daily basis using a 30-day month.

9. Application of Sublease Rent to Master Lease

Sublessor remains solely responsible for timely payment of all rent and other sums due to Landlord under the Master Lease. Sublease Rent received from Sublessee shall be applied by Sublessor toward the Master Lease obligations. Failure by Sublessor to remit amounts to Landlord does not relieve Sublessee of the obligation to pay Sublease Rent, but constitutes a material breach by Sublessor.

10. Late Charges and Returned Payments

Rent is due on the due date. If Sublease Rent is not received within [[Grace Period Days]] days after the due date, Sublessee shall pay a late charge of the lesser of $50.00 or five percent (5%) of the monthly Sublease Rent. A fee of [[Returned Payment Fee Amount]] applies to any dishonored payment. Acceptance of late or partial payment does not waive any rights., -

ARTICLE V, SECURITY DEPOSIT

11. Security Deposit Amount and Limit

Upon execution of this Sublease (after receipt of Landlord consent), Sublessee shall pay Sublessor a Security Deposit of [[Security Deposit Amount]]. Under R.I. Gen. Laws § 34-18-19, the security deposit shall not exceed one (1) month's periodic rent. If the Premises are furnished, an additional furniture security deposit of up to one month's rent may apply if the furniture replacement value meets statutory thresholds.

12. Permitted Uses of Security Deposit

The Security Deposit secures Sublessee's faithful performance. Sublessor may apply it to:

  • Unpaid Sublease Rent
  • Reasonable repair costs for damage beyond ordinary wear and tear
  • Reasonable cleaning costs to restore the Premises to move-in condition
  • Other amounts owed by Sublessee under this Sublease

13. Return of Security Deposit

Within twenty (20) days after the later of (a) termination of the Sublease, (b) delivery of possession, or (c) Sublessee's provision of a written forwarding address, Sublessor shall return the Security Deposit in full or deliver an itemized written statement of deductions together with any balance. Failure to comply may result in liability for twice the amount wrongfully withheld plus costs and reasonable attorney's fees pursuant to the Act. Sublessee shall provide a forwarding address upon vacating.

14. Separate from Master Lease Deposit

Sublessee acknowledges that Sublessor may hold a separate deposit under the Master Lease. Sublessor's obligations regarding the Master Lease deposit are independent of this Sublease Security Deposit., -

ARTICLE VI, INCORPORATION OF MASTER LEASE OBLIGATIONS

15. Subordination to Master Lease

This Sublease is in all respects subject and subordinate to the Master Lease. In the event of conflict between this Sublease and the Master Lease as between Sublessor and Landlord, the Master Lease controls. As between Sublessor and Sublessee, this Sublease controls, provided Sublessee's rights do not cause Sublessor to breach the Master Lease.

16. Sublessee Assumes Master Lease Obligations

Sublessee assumes and agrees to perform all obligations of Sublessor as "Tenant" under the Master Lease to the extent they relate to use and occupancy of the Premises during the Sublease term. Without limitation, Sublessee shall:

1. Comply with all rules, regulations, and policies under the Master Lease.

2. Observe all use, occupancy, noise, nuisance, and cleanliness requirements.

3. Maintain the Premises in the condition required by the Master Lease and R.I. Gen. Laws § 34-18-24 (tenant duties to maintain dwelling unit).

4. Comply with all applicable federal, state, and local laws.

5. Promptly notify Sublessor in writing of any condition requiring repair, damage, or emergency.

Sublessee shall have no greater rights than Sublessor holds under the Master Lease. Sublessee acquires no direct contractual rights against Landlord except as required by law., -

ARTICLE VII, SUBLESSOR'S CONTINUING LIABILITY

17. Sublessor Remains Liable to Landlord

Sublessor shall remain fully liable to Landlord for all obligations under the Master Lease for the entire Sublease term, including payment of rent and compliance with all covenants. Execution of this Sublease does not release, modify, or reduce Sublessor's liability to Landlord. Landlord may continue to look exclusively to Sublessor for Master Lease performance.

18. Sublessor's Duties to Maintain Master Lease

Sublessor shall:

(a) Timely pay all rent and sums due Landlord under the Master Lease;

(b) Perform all Master Lease obligations not assumed by Sublessee;

(c) Not agree to any modification, amendment, or early termination of the Master Lease that adversely affects Sublessee without Sublessee's prior written consent;

(d) Promptly forward to Sublessee any notice or default notice received from Landlord., -

ARTICLE VIII, DEFAULT, REMEDIES, AND NOTICES

19. Events of Default

Sublessee is in default if Sublessee fails to pay Sublease Rent when due or breaches any term of this Sublease or the incorporated Master Lease provisions and fails to cure within any applicable period.

20. Notice for Non-Payment

For non-payment of rent, Sublessor may serve a five (5) day notice to pay or vacate as provided under R.I. Gen. Laws § 34-18-35 and related provisions of the Act. If Sublessee fails to pay or vacate within the notice period, Sublessor may pursue all remedies available under the Master Lease and the Act, including termination and recovery of possession, unpaid rent, damages, and costs.

21. Other Defaults and Remedies

For other breaches, Sublessor shall provide written notice specifying the breach and any cure period required by the Master Lease or the Act. Sublessor may pursue all lawful remedies, including termination and damages. Sublessor shall not engage in self-help eviction methods prohibited by the Act.

22. Notices

All notices under this Sublease shall be in writing and delivered personally, by certified mail, or by first-class mail with proof of mailing to the addresses set forth above or to such other address as a party designates in writing. Notices to Landlord shall be handled through Sublessor as required by the Master Lease unless Landlord directs otherwise., -

ARTICLE IX, CONDITION, MAINTENANCE, SURRENDER, AND INDEMNIFICATION

23. Move-In Condition and Inspection

Sublessor shall deliver the Premises in a clean, sanitary, habitable condition meeting the requirements of the Master Lease and R.I. Gen. Laws § 34-18-22 (landlord to maintain premises). Sublessee shall complete a Move-In Inventory and Condition Checklist (Exhibit C) within [[Move-In Inspection Window Days]] days after commencement and return a signed copy to Sublessor. The checklist, with any photographs, establishes the baseline for deposit accounting.

24. Maintenance Obligations

Sublessee shall keep the Premises clean, sanitary, and safe; properly use all systems and appliances; dispose of trash properly; replace consumables such as light bulbs, filters, and batteries; and promptly report needed repairs in writing to Sublessor. Sublessee shall pay for repairs of damage caused by Sublessee's negligence, misuse, or that of guests or pets.

Sublessor shall transmit repair requests to Landlord and follow up to ensure performance of Landlord's obligations under the Master Lease and the Act.

25. Alterations

Sublessee shall not paint, alter, install fixtures or equipment, or change locks without the prior written consent of Sublessor and Landlord. Approved alterations become part of the Premises unless otherwise agreed in writing.

26. Surrender

Upon expiration or earlier termination, Sublessee shall vacate the Premises, remove all personal property, return all keys and access devices, and leave the Premises broom-clean and in move-in condition, ordinary wear and tear excepted. Sublessor shall conduct a move-out inspection and provide written accounting within the statutory period.

27. Indemnification

Sublessee shall indemnify, defend, and hold Sublessor harmless from claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from Sublessee's use or occupancy, breach of this Sublease or Master Lease, or acts of Sublessee, occupants, or guests.

Sublessor shall indemnify Sublessee from claims arising from Sublessor's breach of the Master Lease unrelated to Sublessee or Sublessor's failure to remit rent to Landlord., -

ARTICLE X, GENERAL PROVISIONS

28. Governing Law and Venue

This Sublease shall be governed by and construed in accordance with the laws of the State of Rhode Island. Venue for any action lies in the appropriate court in the county where the Premises are located.

29. Severability

If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

30. Entire Agreement

This Sublease, together with the attached Exhibits and the Master Lease (as incorporated), constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations and agreements. It may be amended only by a writing signed by both parties.

31. Counterparts and Electronic Signatures

This Sublease may be executed in counterparts and by electronic signature, each of which shall be deemed an original.

32. Waiver

No waiver of any breach shall be deemed a waiver of any other or subsequent breach. Any waiver must be in writing.

33. Joint and Several Liability

Each person signing as Sublessee is jointly and severally liable for all obligations.

34. Attorneys' Fees

In any action to enforce rights under this Sublease, the prevailing party may recover reasonable attorneys' fees and costs as permitted by the Act or other applicable law.

35. Time of Essence

Time is of the essence with respect to all obligations hereunder., -
