SOUTH DAKOTA SUBLEASE AGREEMENT
This South Dakota Sublease Agreement (the "Sublease") is entered into as of [[Sublease Agreement Date]] by and between:

Subtenant agrees to be bound by and to comply with all provisions of the Master Lease to the same extent as if Subtenant were the original tenant, including but not limited to:

- Prohibitions on assignment or further subletting without consent
- Default and remedies
- Surrender obligations
Subtenant's rights under this Sublease shall not exceed the rights of Sublessor under the Master Lease.
8. Sublessor's Continuing Liability Sublessor remains fully and primarily liable to Landlord for all obligations under the Master Lease, including payment of rent, performance of covenants, and any damages or defaults caused by Subtenant. Landlord may enforce the Master Lease against Sublessor regardless of this Sublease.
Sublessor shall indemnify and hold Landlord harmless from any claims, damages, or losses arising from Subtenant's occupancy or breach of this Sublease or the Master Lease.
9. Default by Subtenant If Subtenant fails to pay rent when due or breaches any term of this Sublease or the incorporated Master Lease terms, Sublessor may pursue all remedies available under the Master Lease and South Dakota law, including termination of this Sublease and recovery of possession.
Sublessor shall provide Subtenant with any notices required by the Master Lease or law before exercising remedies.
10. Default by Sublessor or Termination of Master Lease If Sublessor defaults under the Master Lease or the Master Lease is terminated for any reason (including nonpayment by Sublessor), Subtenant's rights under this Sublease shall terminate, and Subtenant shall vacate the Premises upon notice.
Subtenant may pursue remedies against Sublessor for breach of this Sublease, but shall have no direct claim against Landlord unless Landlord has expressly assumed obligations to Subtenant in writing.
11. Assignment and Further Subletting Subtenant shall not assign this Sublease or sublet the Premises or any part thereof without the prior written consent of both Sublessor and Landlord (if required under the Master Lease).
12. Maintenance, Repairs, and Condition Subtenant shall maintain the Premises in the same condition as received, reasonable wear and tear excepted, and shall comply with all maintenance obligations of the tenant under the Master Lease.
At the end of the Sublease Term, Subtenant shall surrender the Premises in the condition required by the Master Lease and this Sublease, broom clean and free of personal property.
13. Entry by Sublessor and Landlord Sublessor and Landlord (or their agents) shall have the same rights of entry as provided in the Master Lease, including the requirement of reasonable notice (typically 24 hours written notice except in emergencies under South Dakota law).
14. Insurance Subtenant shall maintain renter's insurance as required by the Master Lease or, if not specified, with liability coverage of at least [[Minimum Insurance Amount]]. Sublessor and Landlord are not responsible for Subtenant's personal property.
