1. Master Lease Reference

Sublessor is the tenant under that certain Residential Lease Agreement dated [[Master Lease Start Date]] (the "Master Lease") between Sublessor and [[Landlord Name]] ("Landlord") for the residential premises located at:

2. Landlord Consent

If consent is required:

  • Sublessor has obtained (or will obtain prior to the Sublease Start Date) Landlord's written consent in the form attached as Exhibit B or such other form as Landlord requires.

Subletting the Premises without required Landlord consent may constitute a material breach of the Master Lease and may result in termination of the Master Lease and eviction of both Sublessor and Sublessee.

Even where not strictly required, Sublessor shall provide written notice to Landlord of the subletting.

3. Premises

Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the Premises described in the Master Lease, together with any furnishings, appliances, parking, and storage listed in Exhibit C (if any).

The Premises shall be used only as a private residence by Sublessee and the permitted occupants listed below. No business or commercial use is permitted unless expressly allowed under the Master Lease and approved in writing.

4. Term of Sublease

The term of this Sublease begins on [[Sublease Start Date]] and ends on [[Sublease End Date]], unless sooner terminated in accordance with the Master Lease or this Sublease.

The Sublease term shall in no event extend beyond the remaining term of the Master Lease. If the Master Lease is terminated early for any reason, this Sublease shall automatically terminate on the same date, and Sublessee shall vacate the Premises.

5. Rent

Sublessee shall pay to Sublessor monthly rent in the amount of [[Monthly Rent Amount]], due in advance on the [[Rent Due Day]] day of each month.

Sublessor remains obligated to pay rent to Landlord under the Master Lease. Sublessee's payment to Sublessor satisfies Sublessee's rent obligation to Sublessor but does not relieve Sublessor of liability to Landlord.

Late fees and returned payment charges, if any, shall be as provided in the Master Lease or as separately agreed in writing.

6. Security Deposit

This security deposit is held by Sublessor (not Landlord). The deposit secures Sublessee's performance under this Sublease and the Master Lease. Sublessor shall return the deposit (or provide an itemized accounting) to Sublessee within the time period required by Texas law after the Sublease ends and Sublessee surrenders the Premises, subject to any lawful deductions.

Sublessee acknowledges that the deposit held by Sublessor is separate from any deposit Sublessor provided to Landlord under the Master Lease.

7. Incorporation of Master Lease Terms

Sublessee agrees to comply with and be bound by all terms, conditions, rules, and obligations of the Master Lease as if Sublessee were the tenant thereunder, including but not limited to:

  • Use of Premises and restrictions
  • Maintenance, repairs, and alterations
  • Quiet enjoyment and nuisance prohibitions
  • Insurance requirements (if any)
  • Pet, parking, and guest policies
  • Entry by landlord / sublessor
  • Default and remedies

A copy of the Master Lease rules and regulations is attached or previously provided.

Sublessee shall not do or permit any act that would constitute a breach of the Master Lease.

8. Liability and Relationship to Landlord

Sublessor remains fully liable to Landlord under the Master Lease for all rent, performance, and other obligations, unless and until a novation agreement is executed by Landlord, Sublessor, and Sublessee releasing Sublessor.

Sublessee's obligations under this Sublease are to Sublessor. Sublessee has no direct contractual relationship with Landlord unless and until Landlord and Sublessee enter into a separate agreement.

In the event of default by Sublessee, Sublessor may exercise all rights and remedies available under this Sublease, the Master Lease, and Texas law, including termination and eviction proceedings.

9. Termination and Notice to Vacate

Either party may terminate this Sublease in accordance with its terms or the Master Lease.

If this Sublease becomes month-to-month after the initial term, notice to vacate shall be given in accordance with Texas Property Code § 91.001 (generally one rental period's notice unless the lease provides otherwise).

Sublessor shall provide Sublessee with any notice received from Landlord regarding the Master Lease that affects Sublessee's occupancy.

10. Condition, Maintenance, and Surrender

Sublessee accepts the Premises in its current condition as of the Sublease Start Date and shall maintain it in the same condition, reasonable wear and tear excepted, and in compliance with the Master Lease.

At the end of the Sublease, Sublessee shall:

  • Remove all personal property and debris
  • Return all keys, access devices, and remotes to Sublessor
  • Leave the Premises clean and in the condition required by the Master Lease
  • Provide a written forwarding address to Sublessor for deposit accounting

Sublessor and Sublessee shall conduct a joint move-out inspection if requested by either party.

11. Assignment and Further Subletting

Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of both Sublessor and, if required, Landlord.

12. Governing Law

This Sublease shall be governed by the laws of the State of Texas. The Master Lease and Texas Property Code Chapter 91 and Chapter 92 (to the extent applicable) control the rights and obligations of the parties.

13. Notices

Notices under this Sublease shall be in writing and delivered to the addresses set forth below or such other addresses as the parties designate in writing.

14. Entire Agreement; Severability
