Utah Sublease Agreement

This Sublease Agreement (the "Sublease") is entered into as of [[Sublease Execution Date]] by and between:

RECITALS

WHEREAS, Sublessor desires to sublet the Premises to Sublessee and Sublessee desires to sublet the Premises from Sublessor on the terms set forth herein;

WHEREAS, the Sublease Term shall not extend beyond the term of the Master Lease;

NOW, THEREFORE, the parties agree as follows:, -

ARTICLE I, PARTIES, PREMISES, AND MASTER LEASE

1. Identification of Parties and Master Lease

Sublessor is the named tenant in the Master Lease. Sublessee is the individual or individuals who will occupy the Premises under this Sublease. If Sublessee consists of more than one person, their obligations are joint and several.

2. Master Lease Reference and Subordination

This Sublease is subject and subordinate to the Master Lease in all respects. A complete copy of the Master Lease, including all addenda, exhibits, and amendments, is attached as Exhibit A and incorporated by reference. Sublessee acknowledges having received and reviewed the Master Lease. Sublessor represents that the Master Lease is in full force, Sublessor is not in default thereunder, and Sublessor has not received any uncured notice of default from Landlord.

3. Premises

Sublessor subleases to Sublessee the residential premises located at [[Property Address, City, Utah, ZIP Code]] (the "Premises"), together with any assigned parking, storage, or other included areas listed here: [[Parking, Storage, or Other Included Areas, or "None"]]. The Premises shall be used solely as a private residence., -

ARTICLE II, TERM

4. Sublease Term

The Sublease Term begins on [[Sublease Start Date]] and ends on [[Sublease End Date]], unless terminated earlier in accordance with this Sublease or the Master Lease. The Sublease Term shall not exceed the remaining term of the Master Lease, which expires on [[Master Lease Expiration Date]]. Any provision purporting to extend beyond the Master Lease term is void.

5. Delivery of Possession

Sublessor shall deliver possession of the Premises to Sublessee on the commencement date in the condition required by the Master Lease and this Sublease. If possession is not delivered within [[Delivery Delay Cap, e.g. ten (10)]] days after the start date, Sublessee may terminate this Sublease and receive a refund of prepaid amounts., -

ARTICLE III, LANDLORD CONSENT

6. Landlord Consent Requirement

Utah has no statute that requires a landlord's consent to subletting as a matter of law. However, the Master Lease almost certainly contains a clause requiring the landlord's prior written consent to any sublease. This Sublease is expressly conditioned upon Sublessor obtaining Landlord's prior written consent. Sublessor shall use best efforts to obtain the consent in the form attached as Exhibit B and deliver it to Sublessee by [[Consent Deadline, e.g. fifteen (15) days after Sublease Execution Date]]. If consent is not obtained by the deadline, either party may terminate this Sublease by written notice and all prepaid amounts shall be refunded.

7. Effect of Consent; No Release of Sublessor

Landlord's consent to this Sublease does not release Sublessor from any obligation under the Master Lease. Sublessor remains fully and primarily liable to Landlord for all rent, damages, and performance under the Master Lease throughout the Sublease Term. Landlord's consent to one sublease does not constitute consent to any future assignment or further subletting., -

ARTICLE IV, RENT AND PAYMENTS

8. Sublease Rent

Sublessee shall pay Sublessor monthly rent of [[Monthly Sublease Rent]] in advance on the [[Rent Due Day]] of each month without deduction or offset. Rent shall be paid to Sublessor by [[Payment Methods, e.g. check, electronic transfer]] at [[Sublessor Payment Address or Instructions]]. If the start date is not the first of the month, the first month's rent shall be prorated.

9. Rent Pass-Through to Landlord

Sublessor remains responsible for paying all rent due under the Master Lease to Landlord on time. Sublessee's timely payment of Sublease Rent to Sublessor does not relieve Sublessor of the obligation to pay Landlord.

10. Late Charges and Fees

ARTICLE V, SECURITY DEPOSIT

11. Security Deposit

Sublessee shall pay a security deposit of [[Sublease Security Deposit Amount]] upon execution of this Sublease. The deposit shall be held by Sublessor and may be applied to unpaid Sublease Rent, damage beyond normal wear and tear, or other amounts Sublessee is obligated to pay. Within thirty (30) days after the Sublease ends and Sublessee vacates and provides a forwarding address, Sublessor shall either return the deposit in full or provide an itemized statement of deductions with any balance, consistent with the accounting requirements under the Master Lease and Utah Code § 57-17-3.

12. Deposit Under Master Lease

Sublessor acknowledges that the deposit under the Master Lease remains with Landlord. Any deposit paid by Sublessee to Sublessor is separate from the Master Lease deposit and does not reduce Sublessor's liability to Landlord., -

ARTICLE VI, USE, CONDITION, AND SURRENDER

13. Permitted Use

The Premises shall be used only as a private residence by Sublessee and the additional permitted occupants listed: [[Permitted Additional Occupants or "None"]]. No business, commercial, or unlawful use is allowed.

14. Condition and Maintenance

Sublessee shall keep the Premises in good condition, comply with all obligations imposed on the tenant under the Master Lease, and promptly notify Sublessor of any needed repairs or unsafe conditions. Sublessee shall be responsible for damage caused by Sublessee, occupants, or guests beyond normal wear and tear.

15. Surrender

At the end of the Sublease Term, Sublessee shall remove all personal property, return all keys and access devices, leave the Premises clean and in the condition required by the Master Lease (ordinary wear excepted), and provide a written forwarding address to Sublessor., -

ARTICLE VII, ASSIGNMENT AND FURTHER SUBLETTING

16. No Further Transfer

Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of both Sublessor and Landlord., -

ARTICLE VIII, DEFAULT AND REMEDIES

17. Default by Sublessee

Sublessee is in default if Sublessee fails to pay rent when due, violates any term of this Sublease or the Master Lease, or abandons the Premises. Upon default, Sublessor may pursue all remedies available under the Master Lease and Utah law, including termination and recovery of possession, unpaid rent, damages, and costs.

18. Default by Sublessor

If Sublessor fails to perform obligations under the Master Lease that affect Sublessee's quiet enjoyment, Sublessee may exercise any remedies available under the Master Lease or law after providing notice to Sublessor., -

ARTICLE IX, LIABILITY AND INDEMNITY

19. Sublessor's Continuing Liability

Sublessor remains fully liable to Landlord for all obligations under the Master Lease, including payment of rent and repair of damage, regardless of this Sublease. Sublessor shall indemnify and hold Sublessee harmless from any claim by Landlord arising from Sublessor's breach of the Master Lease that is not caused by Sublessee.

20. Sublessee's Liability

Sublessee shall indemnify Sublessor and Landlord against claims arising from Sublessee's use of the Premises or the acts of Sublessee's occupants and guests, to the extent permitted by law., -

ARTICLE X, GENERAL PROVISIONS

21. Notices

All notices shall be in writing and delivered to the addresses set forth above or such other address as a party designates in writing. Notice to Sublessor does not constitute notice to Landlord.

22. Governing Law

This Sublease shall be governed by the laws of the State of Utah. Venue for any dispute shall lie in the county where the Premises is located.

23. Severability

If any provision of this Sublease is held invalid, the remaining provisions shall continue in full force.

24. Entire Agreement

This Sublease, together with the Master Lease (Exhibit A) and any Landlord Consent (Exhibit B), constitutes the entire agreement between the parties and supersedes all prior negotiations. It may be amended only in a writing signed by Sublessor and Sublessee (and Landlord where consent is required).

25. Counterparts and Electronic Signatures

This Sublease may be executed in counterparts and signed electronically. Each counterpart shall be deemed an original.

26. Attorneys' Fees

In any action to enforce this Sublease, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by the Master Lease or Utah law., -

ARTICLE XI, REQUIRED DISCLOSURES AND ADDENDA

27. Lead-Based Paint Disclosure

If the Premises was built before 1978, the required federal lead-based paint disclosure and pamphlet are attached as Exhibit C.

28. Other Disclosures

Any additional disclosures required by the Master Lease or Utah law are attached or incorporated: [[Additional Disclosures, or "None"]]., -
