VIRGINIA SUBLEASE AGREEMENT

This Virginia Sublease Agreement (the "Sublease") is made on [[Sublease Execution Date]] by and between:

Recitals

A. Sublessor is the tenant under that certain Residential Lease Agreement dated [[Master Lease Date]] (the "Master Lease") between Sublessor and Landlord for the premises located at [[Master Lease Property Full Address]] (the "Premises").

B. A true and complete copy of the Master Lease (including all amendments, exhibits, and addenda) is attached hereto as Exhibit A and incorporated by reference.

C. Sublessor desires to sublet the Premises (or a portion thereof) to Sublessee, and Sublessee desires to sublease the Premises from Sublessor, subject to the terms of the Master Lease and this Sublease.

D. Subletting requires written consent of Landlord unless the Master Lease expressly permits subletting without consent. Landlord's consent (if required) is set forth in Exhibit B or will be obtained separately.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

1. Premises Sublessor subleases to Sublessee, and Sublessee subleases from Sublessor, the Premises described in the Master Lease, specifically: [[Description of Subleased Portion if Not Entire Premises, e.g., "the entire Premises" or "the upper level / specific rooms"]] located at [[Full Property Address]], Virginia.

The Sublease includes the use of any assigned parking, storage, or common areas as set forth in the Master Lease: [[Parking / Storage / Amenities Included]].

2. Term of Sublease The term of this Sublease shall begin on [[Sublease Start Date]] and end on [[Sublease End Date]], unless sooner terminated or extended in accordance with the terms hereof.

The Sublease term shall not exceed the remaining term of the Master Lease. Sublessee acknowledges that Sublessee has no right to remain in possession beyond the expiration or earlier termination of the Master Lease or this Sublease.

Upon expiration or termination, Sublessee shall surrender the Premises in the condition required by the Master Lease and this Sublease.

3. Rent and Other Charges Sublessee shall pay to Sublessor monthly rent in the amount of $[[Sublease Monthly Rent Amount]], due on the [[Due Day]] of each month in advance.

Sublessee shall also pay Sublessor's share of any utilities, HOA fees, or other charges that Sublessor is obligated to pay under the Master Lease to the extent they relate to Sublessee's occupancy: [[Utility / Charge Pass-Through Details]].

4. Security Deposit Sublessee shall pay a security deposit of $[[Sublease Security Deposit Amount]] to Sublessor upon execution of this Sublease.

The security deposit shall be held by Sublessor in accordance with the Master Lease and Virginia law (§ 55.1-1226). Sublessee acknowledges that any deposit held by Landlord under the Master Lease remains subject to the Master Lease terms.

Upon termination of this Sublease and full performance by Sublessee, Sublessor shall return the deposit (or itemized accounting) within the timeframes required by the Master Lease and VRLTA, subject to any lawful deductions.

5. Landlord Consent and Master Lease Compliance Subletting is subject to the terms of the Master Lease, including Section [[Master Lease Section on Assignment/Subletting]].

If the Master Lease requires Landlord's prior written consent, Sublessor has obtained (or will obtain) such consent on the form attached as Exhibit B (Landlord Consent to Sublease) or a substantially similar form approved by Landlord.

Landlord shall have ten (10) business days after receipt of a complete written application on Landlord's form to approve or disapprove the sublessee. Failure of Landlord to act within ten business days shall be evidence of approval (per Va. Code § 55.1-1204(G)).

Sublessee acknowledges receipt of a copy of the Master Lease (Exhibit A) and agrees to be bound by all terms, covenants, conditions, rules, and obligations of the Master Lease as if Sublessee were the original tenant thereunder, except as expressly modified by this Sublease.

6. Sublessor's Continuing Liability Sublessor remains jointly and severally liable to Landlord for the full and timely performance of all obligations under the Master Lease, including payment of rent, compliance with all covenants, and liability for any breach or damage, notwithstanding this Sublease or any consent granted by Landlord.

Sublessee's compliance with this Sublease does not release Sublessor from any liability to Landlord. Sublessor shall indemnify and hold Sublessee harmless from any claims by Landlord arising from Sublessor's breach of the Master Lease, to the extent not caused by Sublessee.

7. Use of Premises Sublessee shall use the Premises solely as a private residence and in accordance with the Master Lease and all applicable laws. Sublessee shall not use or permit the Premises to be used for any unlawful purpose or in any manner that violates the Master Lease or creates a nuisance.

8. Maintenance, Repairs, and Alterations Sublessee shall maintain the Premises in the condition required by the Master Lease and this Sublease. Sublessee shall comply with all maintenance obligations imposed on the "Tenant" in the Master Lease.

Sublessee shall not make alterations or improvements without the prior written consent of both Sublessor and Landlord as required by the Master Lease.

9. Assignment and Further Subletting Sublessee shall not assign this Sublease or further sublet the Premises without the prior written consent of Sublessor and Landlord.

10. Default and Termination Sublessee shall be in default if Sublessee fails to pay rent when due, violates any term of this Sublease or the Master Lease, or otherwise breaches any obligation hereunder.

Upon default, Sublessor may exercise all remedies available under this Sublease, the Master Lease, and Virginia law, including termination of this Sublease and recovery of possession (through lawful process), unpaid amounts, and damages.

Sublessor shall provide Sublessee with notices and cure opportunities consistent with the Master Lease and the VRLTA.

If the Master Lease is terminated for any reason, this Sublease shall automatically terminate, and Sublessee shall vacate the Premises.

11. Access and Entry Sublessor and Landlord (and their agents) shall have the right to enter the Premises as provided in the Master Lease and Virginia law (typically with 24 hours' notice except in emergencies).

12. Insurance and Liability Sublessee shall maintain renter's insurance with liability coverage as required by the Master Lease (minimum $[[Minimum Liability]] if specified) and shall name Sublessor and Landlord as additional interests where required.

Sublessee assumes all risk of loss or damage to Sublessee's personal property. Sublessee shall indemnify Sublessor and Landlord against claims arising from Sublessee's use or acts, except to the extent caused by Sublessor's or Landlord's negligence or willful misconduct.

13. Surrender Upon expiration or termination of this Sublease, Sublessee shall surrender the Premises in the condition required by the Master Lease (broom clean, free of Sublessee's property and debris, reasonable wear and tear excepted), return all keys and access devices, and provide a forwarding address to Sublessor.

14. Notices Notices under this Sublease shall be in writing and delivered as required by the Master Lease or to the addresses set forth below (or such other addresses as the parties designate in writing).

15. Governing Law This Sublease shall be governed by the laws of the Commonwealth of Virginia, including the VRLTA. The Master Lease terms control in the event of any conflict with this Sublease, except as expressly modified herein with Landlord consent.

16. Entire Agreement; Severability This Sublease, together with the Master Lease (Exhibit A) and Landlord Consent (Exhibit B), constitutes the entire agreement between Sublessor and Sublessee concerning the subject matter and supersedes all prior agreements. If any provision is held invalid, the remainder shall remain in effect.

17. Exhibits The following exhibits are attached and incorporated:

  • Exhibit A: Copy of the Master Lease (including all amendments, exhibits, rules, and disclosures)
  • Exhibit B: Landlord Consent to Sublease (or form of consent)
  • Exhibit C: Move-In Inventory and Condition Checklist (if separate from Master Lease)

1. Sublessor must obtain Landlord's written consent (or confirm the Master Lease permits subletting without consent) before allowing Sublessee to take possession.

2. Sublessor must deliver a complete copy of the Master Lease to Sublessee at or before execution of this Sublease (Exhibit A).

3. The Sublease term must not extend beyond the remaining term of the Master Lease.

4. All rent payments by Sublessee to Sublessor are for Sublessor's account; Sublessor remains solely responsible to Landlord for Master Lease rent.

5. Sublessee is bound by every term of the Master Lease; any breach by Sublessee is also a breach by Sublessor to Landlord.

6. Security deposit handling must comply with the Master Lease and Va. Code § 55.1-1226 (45-day accounting upon termination of sub-tenancy).

7. Sublessee must provide Sublessor with at least the notice period required by the Master Lease (or 30 days for month-to-month) prior to vacating.

8. Upon any termination of the Master Lease, Sublessee must vacate immediately; Sublessee has no greater rights than Sublessor.

9. Both parties must sign the Landlord Consent form (Exhibit B) if consent is required and return it to Landlord.

10. Sublessor should retain a fully executed copy of this Sublease and all exhibits for the duration of the Master Lease plus applicable record retention periods.
